Terms and Conditions Binding. The terms and conditions set forth in the Plan and in this Agreement will be binding upon and inure to the benefit of the Corporation, its successors and assigns, including any assignee of the Corporation and any successor to the Corporation by merger, consolidation or otherwise, and Executive, Executive’s heirs, devisees and legal representatives. In addition, the terms and conditions set forth in the Plan and in this Agreement will be binding upon and inure to the benefit of Mellon and its successors and assigns.
Terms and Conditions Binding. Terms and Conditions Binding. Entire Agreement. The quotation (the “Quotation”) of XXXXX CORPORATION (“XXXXX”) together with these Terms and Conditions of Sale (these “Terms and Conditions”) and all other attachments to the Quotation (collectively, the “Agreement”) is an offer to sell equipment and/or spare parts and any attendant services to Buyer. XXXXX’x acceptance of the Agreement is expressly conditioned upon Buyer’s acceptance of these Terms and Conditions. No amendment of these Terms and Conditions (whether such amendment is inconsistent with, different from or in addition to, these Terms and Conditions) will be binding upon XXXXX unless specifically agreed to in a writing signed by XXXXX. Any XXXXX failure to object to any provisions contained in any purchase order or other communication from Buyer to XXXXX shall not be construed as an acceptance of such provisions nor as a waiver of these Terms and Conditions. Any reference by XXXXX in any communication with Buyer to any purchase order from Buyer shall be for reference purposes only and will not serve to amend the Agreement in any way. No action, inaction or course of dealing by or on behalf of XXXXX shall be deemed an acceptance of, or agreement with, any term in any other document relating to the subject matter herein to the extent same is inconsistent with the terms of the Agreement, and Buyer hereby waives all right to so claim. Buyer may accept the offer contained in the Agreement by executing and delivering to XXXXX a copy of the Quotation. There shall be no agreement between XXXXX and Buyer until the Agreement has been duly executed by both Parties. The Agreement constitutes the entire agreement between XXXXX and Buyer regarding the subject matter herein and supersedes all prior and contemporaneous agreements between such Parties, whether written or oral, with respect to such subject matter.
Terms and Conditions Binding. If the Lender agrees to extend ---------------------------- the Scheduled Maturity Date pursuant to a First Request for Extension or a Second Request for Extension, this Agreement shall continue with full force and effect upon the same terms and conditions as those set forth herein (except as amended, supplemented or modified in accordance with the terms hereof) until the Maturity Date (with the Scheduled Maturity Date as extended in accordance herewith).
Terms and Conditions Binding access to Adviser Online will remain subject to these AO Terms as amended from time to time, the Hostplus Privacy Policy, disclaimers and any further agreement, additional terms and conditions, or statements contained on Adviser Online (collectively referred herein as the “Terms and Conditions”); and

If the Request for Extension is approved by the Lenders, this Agreement shall continue with full force and effect upon the same terms and conditions as those set forth herein (except as amended, supplemented or modified in accordance with the terms hereof) until the Maturity Date as extended in accordance herewith.
