Terms of Payment and Related Matters. Unless otherwise specified herein or in any Schedule hereto:
Terms of Payment and Related Matters. (a) As consideration for the provision of the Services, the Purchaser shall pay the Seller the amount specified for each Service on such Service’s respective Service Exhibit (the “Fees”).
Terms of Payment and Related Matters. (a) As consideration for provision of the Services, Recipient shall pay Provider the amount specified for each Service in accordance with the terms set forth in the Service Schedules. In addition to such amounts, unless covered in the amount specified for the Services in accordance with the terms set forth in the Service Schedules, Recipient shall reimburse Provider for reasonable documented expenses incurred by Provider in the provision of any Service, including, without limitation, Employee Expenses, license fees, and payments to third-party service providers or subcontractors (collectively, “Out-of-Pocket Costs”), in accordance with the procedure set forth in Section 3.2(c).
Terms of Payment and Related Matters. (a) As consideration for the provision of the Services, the Service Recipient shall pay the Service Provider the amount specified for each Service on such Service’s respective Service Exhibit. In addition to such amount, in the event that the Service Provider or any of its Affiliates incurs reasonable and documented out-of-pocket expenses in the provision of any Service, but excluding payments made to employees of the Service Provider or any of its Affiliates pursuant to Section 2.01 (such included expenses, “Out-of-Pocket Costs”), the Service Recipient shall reimburse the Service Provider for all such Out-of-Pocket Costs to the extent required by the relevant Service Exhibit in accordance with the invoicing procedures set forth in Section 2.02(b).

(a) As consideration for provision of the Services following the Effective Date, Recipient shall pay Provider an amount equal to Provider’s actual cost of providing the Services plus a 10% service fee. In addition to such amount, in the event that Provider incurs reasonable and documented out-of-pocket expenses in the provision of any Service, including, without limitation, license fees and payments to third-party service providers or subcontractors (such included expenses, collectively, “Out-of-Pocket Costs”), Recipient shall reimburse Provider for all such Out-of-Pocket Costs.

(a) As consideration for provision of the Services, Purchaser shall pay Seller the amount specified for each Service on such Service’s respective Service Exhibit. In addition to such amount, in the event that Seller or any of its Affiliates incurs, at the direction of Purchaser, reasonable and documented out-of-pocket travel-related expenses in the provision of any Service (such included expenses, collectively, “Travel Costs”), Purchaser shall reimburse Seller for all such Travel Costs in accordance with the invoicing procedures set forth in Section 2.02(b). Except for the fees described in the Service Exhibit and the Travel Costs, Purchaser shall not be liable for any other expenses or costs in the provision of any Service, including, but not limited to, payments made to employees of Seller or any of its Affiliates pursuant to Section 2.01, license fees and payments to third-party service providers or subcontractors.

(d) As consideration for provision of the Services, the Recipient shall pay to the Provider the amount specified for each Service on such Service’s respective Service Exhibit, and shall reimburse the Provider for all reasonable costs and expenses incurred in connection with the provision of the Services. If a charge is not expressly set forth for a particular Service in this Agreement, the Service shall be provided free of charge during the transition period for that particular Service.
Terms of Payment and Related Matters. (a) As consideration for provision of the Services, each party receiving Services shall pay the amount specified for each Service on such Service’s respective Service Exhibit.
Terms of Payment and Related Matters. (a) In consideration for its provision of the Services hereunder, the Recipient shall pay to Provider three percent (3%) of Net Sales of all ProBiora3 products sold during the term of the Agreement (the “Service Fees”), payable within ten (10) days following the month in which such sales occur. If this Agreement is terminated by Recipient upon five (5) days’ notice in accordance with Section 1.1(d), Recipient shall pay the Service Fees for the month in which notice was given. In addition, Recipient shall reimburse Provider for all reasonable and necessary out of pocket expenses incurred by Provider in providing the Services, as more particularly described on Exhibit A. (a) As consideration for provision of the Services, Buyer shall pay M&A the amount of Twelve Thousand Five Hundred and 00/100 Dollars ($12,500.00) per month on the first day of each month of the Term, commencing on July 1, 2014 and concluding on June 1, 2015 (for an aggregate total payment hereunder of One Hundred Fifty Thousand and 00/100 Dollars ($150,000.00). In addition to such amount, in the event that M&A or Xxxxxxx Xxx incurs reasonable and documented out-of-pocket expenses in the provision of the Services, including, without limitation, expenses for travel and lodging (collectively, “Out-of-Pocket Costs”), Buyer shall reimburse M&A and Xxxxxxx Xxx for all such Out-of-Pocket Costs in accordance with the invoicing procedures set forth in 2.02 (b).
