Included Expenses. Means any costs and expenses incurred by LANDLORD for operating and maintaining the Property. It includes (i) all real estate taxes, charges, assessments, fees and payments levied or assessed, at any time, on the Property during the term of this lease by any public, governmental, or regulatory body, including those payable under any recorded covenants affecting the Property; (ii) insurance premiums; (iii) repairs (excluding the cost of repairs for which LANDLORD is solely responsible pursuant to Paragraph D.1); (iv) building and landscape maintenance and lighting (including any project signs, parkways, and medians on, adjoining, or serving the Property); (v) reasonable management fees (regardless of whether paid to LANDLORD or an affiliate of LANDLORD); (vi) common utilities serving the Property not separately metered or otherwise charged to a particular TENANT; (vii) reasonable general advertising and promotional expenses for the Property, (viii) any restoration costs to the extent of commercially reasonable deductible amounts for the Property’s insurance; (ix) compensation for any consultants or other professionals employed to review or contest the Property’s taxes, insurance costs, or other operating expenses; and (x) taxes, fees, and other exactions imposed upon or with respect to any of the foregoing by any sovereign, including any gross receipts taxes to the extent not paid by the Property’s tenants and not in lieu of, or direct credit against, LANDLORD’S state and federal income taxes or property taxes.
Included Expenses means an amount equal to the product of twelve (12) times the sum of the actual monthly amount of any expenses that Utility is obligated prior to the Closing Date to pay in connection with the ownership or operation of the Effective Date Towers and Licensed Cell Sites pursuant to agreements or obligations that (a) will be assumed by Purchaser in connection with the Contemplated Transactions, and (b) are not terminated prior to the Closing Date.
Included Expenses means the costs and expenses associated with (a) certain information technology licences and services of the Vendor or its Affiliates that are used exclusively in the Business, (b) certain network services of the Vendor or its Affiliates that are used exclusively in the Business, and (c) the amortization and depreciation of certain curriculum and information technology equipment used exclusively in the Business;

Examples of Included Expenses in a sentence

  • The following rates will be used for work not included in the milestone rates in Section 1 or Included Expenses in Section 2.1.

  • SCT (TMD) has made a good faith estimate of such annual Included Expenses amounts based upon information provided by Client to SCT (TMD).

More Definitions of Included Expenses

Included Expenses means those information technology expenses described in Exhibit D(2), the costs for which Included Expenses are included in the amounts payable to SCT (TMD) under this Agreement and for which SCT (TMD), and not Client, will remain responsible, subject to the conditions of Section 6.
Included Expenses shall have the meaning set forth in Section 6.5B.
Included Expenses means an amount equal to the sum of (a) the product of twelve (12) times the easement “rent” or ground rent for the month of June, 2012, determined in accordance with Perpetual Easements, Easements Appurtenant and Ground Leases with an execution date of June 22, 2012 or earlier (assuming that rent was payable on June 1, 2012 for any such Perpetual Easement or Ground Lease that was executed after June 1, 2012), and excluding amounts recorded to recognize known lease escalation amounts on a straight-line basis over the life of the related leases and (b) the sum of all Real Estate Taxes, Personal Property Taxes, maintenance and repair expenses and utility expenses incurred in connection with the Towers, Tower Sites and sites where the Company owns the land underneath a tower, but does not own the tower, as listed on Schedule 4.17(a)(viii), over the five month period ending May 31, 2012, which sum is divided by five (5) and multiplied by twelve (12), all calculated in accordance with the Accounting Methodology. To the extent that easement or ground rent is paid on an other-than-monthly basis, rent for the month shall include an apportioned amount of such rent attributable to such month; provided, however, all prepaid ground rents and easement “rents” that do not require a cash payment between the date of this Agreement and the date that is eight years following the date of this Agreement will be excluded from this definition of Included Expenses.

  • Excluded Expenses means any costs, fees or expenses of the Company or any Company Subsidiary arising out of or relating to any dispute with the Shareholder Representative or otherwise with respect to the terms of this Agreement other than the Shareholder Representative’s equal share of the fees and expenses of the Neutral Auditor and the investment bank pursuant to Section 2.4(d)(i) and except as otherwise set forth in Section 7.8.

  • Permitted Expenses means the reasonable and documented costs and expenses incurred by the Agents and the Lenders (and their respective agents or professional advisors) in connection with the preparation, administration, amendment and due diligence of this Agreement and the other Credit Documents and, which costs and expenses the Borrower shall reimburse to the Administrative Agent or shall pay or cause to be paid in accordance with the Credit Documents. “Permitted Expenses” shall include, without limitation, the expenses set forth in Sections 5.10 and 9.2 hereof.

  • Company Expenses has the meaning provided in Section 8.3.

  • Claim Expenses means reasonable documented attorneys’ fees and all other reasonable documented out-of-pocket costs, expenses and obligations (including experts’ fees, travel expenses, court costs, retainers, transcript fees, duplicating, printing and binding costs, as well as telecommunications, postage and courier charges) paid or incurred in connection with investigating, defending, being a witness in or participating in (including on appeal), or preparing to investigate, defend, be a witness in or participate in, any Claim, including any Action relating to a claim for indemnification or advancement brought by an Indemnified Party as contemplated in Section 7.5.

  • Management Expenses means the Management Expenses more particularly described in Clause 10.1;

  • Litigation Expense means any court filing fee, court cost, arbitration fee, and each other fee and cost of investigating or defending an indemnified claim or asserting any claim for indemnification or defense under this Agreement, including Attorney’s Fees, other professionals’ fees, and disbursements. “Attorney’s Fees” include a charge for the service of in-house counsel at the market rate for independent counsel of similar experience.
