Common use of Terms of Service Clause in Contracts

Terms of Service. Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunder, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which Subscribers may use the Licensed Service and receive Included Programs (“Terms of Service” or “TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) Subscriber is obtaining a license under copyright to the Included Program; (b) Subscriber’s use of the Included Program must be in accordance with the Usage Rules; (c) except for the rights explicitly granted to Subscriber, all rights in the Included Program are reserved by Licensee and/or Licensor; and (d) the license terminates upon breach by Subscriber and upon termination the Included Program(s) must be deleted and disabled. Licensee shall contractually bind all users of the Licensed Service to adhere to the TOS and Usage Rules prior to the completion of each Subscriber transaction and shall make Licensor an intended third party beneficiary of such agreement between Subscriber and Licensee.

Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunder, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which Subscribers viewers may use the Licensed Service and receive Included Programs (“Terms of Service” or “TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) Subscriber viewer is obtaining a license under copyright to the Included Program; (b) Subscriberviewer’s use of the Included Program must be in accordance with the Usage Rules; (c) except for the rights explicitly granted to Subscriberviewer, all rights in the Included Program are reserved by Licensee and/or Licensor; and (d) the license terminates upon breach by Subscriber viewer and upon termination the Included Program(s) must be deleted and disabled. Licensee shall contractually bind all users of the Licensed Service to adhere to the TOS and Usage Rules prior to the completion of each Subscriber viewer transaction and shall make Licensor an intended third party beneficiary of such agreement between Subscriber viewer and Licensee.

Licensee shall contractually bind all users of the Licensed VOD Service to adhere to the TOS and Usage Rules prior to the completion of each such users’ initial Subscriber transaction Transaction and shall make Licensor an intended third party beneficiary of such agreement between Subscriber and Licensee.

Terms of Service. Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunderhereunder via the Internet, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which Subscribers a Subscriber may use the Licensed Service and receive Included Programs Programs, (“Terms of Service” or “TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) Subscriber is obtaining a license under copyright to the Included Program; , (b) Subscriber’s use of the Included Program must be in accordance with the Usage Rules; , (c) except for the rights explicitly granted to Subscriber, all rights in the Included Program are reserved by Licensee and/or Licensor; , and (d) the license terminates upon breach by Subscriber Subscriber, and upon termination the Included Program(s) must will be deleted and disabledinaccessible to Subscriber. Licensee shall contractually bind all users of the Licensed Service as distributed via the Internet to adhere to the TOS and Usage Rules prior to the completion of each initial subscription to the SVOD Service or each VOD Subscriber transaction and shall make Licensor an intended third party beneficiary of such agreement between Subscriber and LicenseeTransaction.

Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunder, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which Subscribers a Customer may use the Licensed Service and receive Included Programs Programs, (““ Terms of Service” or ““ TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) Subscriber Customer is obtaining a license under copyright to the Included Program; , (b) SubscriberCustomer ’s use of the Included Program must be in accordance with the Usage Rules; , (c) except for the rights explicitly granted to SubscriberCustomer, all rights in the Included Program are reserved by Licensee and/or Licensor; , and (d) the license terminates upon breach by Subscriber Customer and upon termination the Included Program(s) must will be deleted and disabledinaccessible to Customer. Licensee shall contractually bind all users of the Licensed Service to adhere to the TOS and Usage Rules prior to the completion of each Subscriber transaction Customer Transaction and shall make Licensor an intended third party beneficiary of such agreement between Subscriber Customer and Licensee.

Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunder, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which Subscribers a Customer may use the Licensed Service and receive Included Programs (“Terms of Service” or “TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) Subscriber Customer is obtaining a license under copyright to the Included Program; , (b) SubscriberCustomer’s use of the Included Program must be in accordance with the Usage Rules; , (c) except for the rights explicitly granted to SubscriberCustomer, all rights in the Included Program are reserved by Licensee and/or Licensor; , and (d) the license terminates upon breach of the TOS by Subscriber Customer, and upon termination the Included Program(s) must shall be deleted and disabledby, or rendered inaccessible to, Customer. Licensee shall contractually bind all users of the Licensed Service to adhere to the TOS and Usage Rules prior to the completion of each Subscriber transaction the initial Customer Transaction and shall make Licensor an intended third party beneficiary of such agreement between Subscriber Customer and Licensee.
