Common use of Terms of Service Clause in Contracts

Terms of Service. Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunder, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which viewers may use the Licensed Service and receive Included Programs (“Terms of Service” or “TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) viewer is obtaining a license under copyright to the Included Program; (b) viewer’s use of the Included Program must be in accordance with the Usage Rules; (c) except for the rights explicitly granted to viewer, all rights in the Included Program are reserved by Licensee and/or Licensor; and (d) the license terminates upon breach by viewer and upon termination the Included Program(s) must be deleted and disabled. Licensee shall contractually bind all users of the Licensed Service to adhere to the TOS and Usage Rules prior to the completion of each viewer transaction and shall make Licensor an intended third party beneficiary of such agreement between viewer and Licensee.

Licensee shall contractually bind all users of the Licensed Service to adhere to the TOS and Usage Rules prior to the completion of each viewer Subscriber transaction and shall make Licensor an intended third party beneficiary of such agreement between viewer Subscriber and Licensee.

Licensee shall contractually bind all users of the Licensed VOD Service to adhere to the TOS and Usage Rules prior to the completion of each viewer transaction such users’ initial Subscriber Transaction and shall make Licensor an intended third party beneficiary of such agreement between viewer Subscriber and Licensee.

Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunder, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which viewers a Customer may use the Licensed Service and receive Included Programs Programs, (““ Terms of Service” or ““ TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) viewer Customer is obtaining a license under copyright to the Included Program; , (b) viewerCustomer ’s use of the Included Program must be in accordance with the Usage Rules; , (c) except for the rights explicitly granted to viewerCustomer, all rights in the Included Program are reserved by Licensee and/or Licensor; , and (d) the license terminates upon breach by viewer Customer and upon termination the Included Program(s) must will be deleted and disabledinaccessible to Customer. Licensee shall contractually bind all users of the Licensed Service to adhere to the TOS and Usage Rules prior to the completion of each viewer transaction Customer Transaction and shall make Licensor an intended third party beneficiary of such agreement between viewer Customer and Licensee.

Without limiting any other obligation of Licensee hereunder, prior to making an Included Program available hereunderhereunder via the Internet, Licensee shall (i) provide conspicuous notice of the terms and conditions pursuant to which viewers a Subscriber may use the Licensed Service and receive Included Programs Programs, (“Terms of Service” or “TOS”) and (ii) include provisions in the TOS stating, among other things and without limitation, that: (a) viewer Subscriber is obtaining a license under copyright to the Included Program; , (b) viewerSubscriber’s use of the Included Program must be in accordance with the Usage Rules; , (c) except for the rights explicitly granted to viewerSubscriber, all rights in the Included Program are reserved by Licensee and/or Licensor; , and (d) the license terminates upon breach by viewer Subscriber, and upon termination the Included Program(s) must will be deleted and disabledinaccessible to Subscriber. Licensee shall contractually bind all users of the Licensed Service as distributed via the Internet to adhere to the TOS and Usage Rules prior to the completion of each viewer transaction and shall make Licensor an intended third party beneficiary of such agreement between viewer and Licenseeinitial subscription to the SVOD Service or each VOD Subscriber Transaction.

Licensee shall contractually bind all users of the Licensed VOD Service to adhere to the TOS and Usage Rules prior to the completion of each viewer transaction Subscriber Transaction and shall make Licensor an intended third party beneficiary of such agreement between viewer Subscriber and Licensee.
