The Band Sample Clauses

The Band. The Band shall have the right to defend or respond to any claim in such a suit or action made against the Band by counsel selected by the Band. The cost of such defense or response shall be an Operating Expense. The Band shall have the absolute right, based on the Band's sovereign immunity from suit, to decline to participate in the defense of or response to any such claim.
The Band. Designee Guarantors hereby acknowledge, affirm and confirm that (i) the obligations of the Band which were guaranteed by the Band Designee Guarantors pursuant to the Band Designee Guarantees and which may be assigned to and assumed by the Authority pursuant to this Assignment Agreement and any related documents which may be executed in connection herewith (the "Band Designee Obligations"), constitute Guaranteed Obligations, as such term is defined under the Band Designee Guarantees, which remain in full force and effect, (ii) the Band Designee Guarantors are liable for all such Guaranteed Obligations in accordance with the terms of their Band Designee Guarantees without offset, counterclaims or reduction of any kind or nature whatsoever, and (iii) the Band Designee Guarantors shall execute and deliver such additional agreements, amendments and other documents as Lakes and/or Great Lakes may require to confirm the foregoing and more fully effect the purposes of this Assignment Agreement.

  • Configuration Management The Contractor shall maintain a configuration management program, which shall provide for the administrative and functional systems necessary for configuration identification, control, status accounting and reporting, to ensure configuration identity with the UCEU and associated cables produced by the Contractor. The Contractor shall maintain a Contractor approved Configuration Management Plan that complies with ANSI/EIA-649 2011.   • The FTPS Unit Servicing Agent shall distribute to redeeming FTPS Unit holders of record on its books redemption proceeds it receives pursuant to Section 5.02 of the Standard Terms and Conditions of Trust from the Trustee as the sole record owner of FTPS Units on the Trustee's books.

  • Contractor If COUNTY elects to renegotiate this Agreement due to reduced or terminated 20 funding, CONTRACTOR shall not be obligated to accept the renegotiated terms.

  • The Web Services E-Verify Employer Agent agrees to, consistent with applicable laws, regulations, and policies, commit sufficient personnel and resources to meet the requirements of this MOU.

  • Managed Services HP will provide the services as described in a Statement of Work (“SOW”) attached to this Agreement or incorporating it by reference. Each party will appoint a single point of contact as set forth in the SOW who will serve as their primary representative, have overall responsibility for managing performance, and meet with the other party’s representative to review progress. Change requests are governed by the change management procedures as set forth in the SOW.

  • Project Manager The term “Project Manager” refers to the employee of the State who has been assigned responsibility for overseeing and managing the proper and timely implementation of the project.
