GSCL is not an operating company. Its sole business activity is the issue of preference shares. GSCL does not have any trading assetsand doesnot generate any significant net income. As its fundsare limited, any misappropriation of funds or other fraudulent action by GSCL or a person acting on its behalf would have a significant effect on the value of the Preference Shares and will affect the value of the Securities.

The Preference Shares Each series of Preference Share Linked Notes will give exposure to changes in the market value of Preference Shares that in turn gives exposure to Preference Share Underlying(s).
