Third Party Notices and Consents. The Company shall, and the Sellers shall cause the Company to, use reasonable best efforts to give required notices to third parties and obtain any required third party consents in connection with the matters contemplated by this Agreement.

Prior to the Second Merger Effective Time, the Company shall use its commercially reasonable efforts (and the Company shall cause the other Acquired Companies to use their respective commercially reasonable efforts) to obtain any third-party consents, waivers or novations (including under any Contracts); provided that in connection with obtaining any such third-party consent, waiver or novation (other than any third-party consent, waiver or novation contemplated by Section 9.01), none of the Parent Parties or any Acquired Company will be required to (and, without the written consent of Parent, no Acquired Company shall) make or agree to make more than a de minimis payment (the amount of which shall constitute a Transaction Expense), grant any accommodations or accept any amendment, conditions or obligations, including amendments to existing conditions and obligations.

(b) Parent and Seller shall cause the Company to give all notices and other information required to be given to the Business Employees and any applicable Governmental Entity under Applicable Laws in connection with the transactions contemplated by this Agreement.

During the period between the execution of this Agreement and the Closing Date, DataMEG will give any notices to third parties, and will diligently use all reasonable efforts to obtain any third-party consents, that Xxxxx may reasonably request in connection with the Share Exchange.

Upon the Buyer’s request, the Seller shall, and shall cause the Company to, use commercially reasonable efforts (including by cooperating with the Buyer and its Affiliates and representatives) in connection with the giving of notices of the transactions contemplated by this Agreement to any Person, including pursuant to any Contracts to which the Company is a party. Prior to the Closing, the Seller shall use its commercially reasonable efforts (but shall not be required to make any payments) to obtain any third-party consents, waivers or novations required pursuant to the terms of any Material Contracts, Material Network Agreements or other Contracts that are, in the Buyer’s reasonable judgment, necessary or appropriate to operate the Company after the Closing.

(a) Buyer shall obtain, at its expense, all waivers, permits, consents, approvals or other authorizations from Governmental Entities, and effect all registrations, filings and notices with or to Governmental Entities, as may be required for Buyer to consummate the transactions contemplated by this Agreement and to otherwise comply with all applicable laws and regulations in connection with the consummation of the transactions contemplated by this Agreement.
(b) Buyer shall obtain, at its expense, all such waivers, consents or approvals from third parties, including, where applicable, stockholder consents, and to give all such notices to third parties, as are required by this Agreement.
