Third Party Notices and Consents. Each Seller and the Company shall give all required notices to third parties and use commercially reasonable efforts to obtain all required third-party consents in connection with the matters contemplated by this Agreement.

Prior to the Second Merger Effective Time, the Company shall use its commercially reasonable efforts (and the Company shall cause the other Acquired Companies to use their respective commercially reasonable efforts) to obtain any third-party consents, waivers or novations (including under any Contracts); provided that in connection with obtaining any such third-party consent, waiver or novation (other than any third-party consent, waiver or novation contemplated by Section 9.01), none of the Parent Parties or any Acquired Company will be required to (and, without the written consent of Parent, no Acquired Company shall) make or agree to make more than a de minimis payment (the amount of which shall constitute a Transaction Expense), grant any accommodations or accept any amendment, conditions or obligations, including amendments to existing conditions and obligations. 115

The Company shall, and shall cause each Subsidiary to, use reasonable efforts to give all required notices to third parties and obtain all required third party consents and waivers in connection with the transactions contemplated by this Agreement (including the initial issuance and purchase of the Preferred Stock by the Purchasers hereunder, the conversion thereof into Common Stock and changes or circumstances that may occur as a result of the terms of the Preferred Stock, whether pursuant to Section 5C of the Certificate of Designation or otherwise (but not including, for the avoidance of doubt, any purchase or other acquisition by any such holder of additional securities of the Company other than acquisitions that result from the terms of the Preferred Stock)).

Prior to the Closing, the Seller shall use its commercially reasonable efforts (but shall not be required to make any payments) to obtain any third-party consents, waivers or novations required pursuant to the terms of any Material Contracts, Material Network Agreements or other Contracts that are, in the Buyer’s reasonable judgment, necessary or appropriate to operate the Company after the Closing.

During the period between the execution of this Agreement and the Closing Date, DataMEG will give any notices to third parties, and will diligently use all reasonable efforts to obtain any third-party consents, that Xxxxx may reasonably request in connection with the Share Exchange.
