Third-Party Rights / Obligations. No one other than a party to the Contract, their successors and permitted assignees will have any right to enforce any of its terms. Tototheo may contract with third-parties (including Third Party Vendors) for certain services to be provided as part of the Cyber Security Services, and, to the extent such third-party terms and conditions differ from the terms and conditions of the Contract and these Terms & Conditions such third party terms and conditions will apply to that part of the Cyber Security Service.

Third-Party Rights / Obligations. The sale and assignment by Seller to Purchaser of the Assigned Patents (and any subsequent assignment or other transfer thereof by Purchaser to any person) is expressly subject to the Third-Party Rights & Obligations. The Parties acknowledge and agree that the Third-Party Rights & Obligations run with the Assigned Patents and, therefore, shall continue to encumber and be binding on the Assigned Patents at all times (whether or not the Assigned Patents are subsequently assigned or transferred) from and after the Closing in accordance with the terms thereof.
