TIME AND PLACE OF CLOSING; CLOSING DELIVERIES. The closing of the purchase and sale contemplated herein (the "Closing") shall take place at 10:00 a.m., on October 17, 2007 at the offices of Parent, located at League City, Texas, or such time and date as the parties may agree upon. The date of Closing is hereinafter referred to as the "Closing Date." At the Closing, Seller shall deliver to Buyer according to Buyer's instructions:

The closing of the purchase and sale contemplated herein (the "Closing") shall take place at 10:00 a.m., on October 16, 2006 at the offices of Parent, located at League City, Texas, or such time and date as the parties may agree upon. The date of Closing is hereinafter referred to as the "Closing Date." At the Closing, Seller shall deliver to Buyer the documents, certificates, agreements and instruments described in Section 2.2, and Buyer shall deliver to Seller the documents, certificates, agreements and instruments described in Section 2.3.
TIME AND PLACE OF CLOSING; CLOSING DELIVERIES. (a) The Closing will take place at 9:00 A.M. on the Closing Date, or at such other time as the Parties, acting through their authorized officers, may mutually agree. To the extent not inconsistent with any other provision of this Agreement, all of the Parties agree that for tax, accounting and other purposes, the transactions described herein shall be deemed to have occurred as of the Closing Date, 11:59 p.m., Eastern Time. The Closing shall be held at the offices of Alstxx & Xird LLP, One Atlantic Center, 1201 Xxxx Xxxxxxxxx Xxxxxx, X.X., Xxxxxxx, Xxxxxxx, xx such other location as may be mutually agreed upon by the Parties. Subject to the terms and conditions hereof, unless otherwise mutually agreed upon in writing by the authorized officers of each Party, the Parties shall use their reasonable efforts to cause the Closing to occur in December on the first business day following a payroll date of the Company in the month in which occurs the last to occur of the effective date (including expiration of any applicable waiting period) of the last required Consent of any Regulatory Authority having authority over and approving or exempting the Stock Purchase.
TIME AND PLACE OF CLOSING; CLOSING DELIVERIES. (a) The closing of the transactions contemplated by this Agreement (the “Closing”) will take place at the offices of Xxxxxx & Xxxxxxx LLP, 00 Xxxxx Xxxxx Xxxxxx, Xxxxxxxxxxx, Xxxxxxxxx, at 9:00 a.m., Minneapolis time, on and as of the Phosphate Closing Date as defined in the Asset Purchase Agreement (the “Closing Date”), or at such other place and on such other date as may be mutually agreed by Mosaic and USAC, in which case “Closing Date” means the date so agreed. The failure of the Closing will not by itself result in termination of this Agreement and will not relieve any party of any obligation under this Agreement. The Closing will be effective as of the close of business on the Closing Date.
TIME AND PLACE OF CLOSING; CLOSING DELIVERIES. The closing of the purchase and sale contemplated herein shall take place at 1:00 p.m., on December 15, 2006, at Buyer's offices, located at League City, Texas, or, if the parties desire, by courier service and facsimile/email at a time and date as the parties may agree upon. The date of closing is referred to herein as the "Closing Date."

(a) Upon the terms and subject to the conditions of this Agreement, the closing of the transactions contemplated hereby (the "Closing") has taken place at the offices of S J Berwin & Cx, 000 Xxxys Inn Xxxx, Xxxxxx XX0X 0XX xx xx xxx xxxe hereof (the "Closing Date"). (b) Immediately prior to Closing, Sellers and the Company delivered to Purchaser the documents listed in Schedule 1.4(b).
