TIME ASSIGNMENT. Time is of the essence in the performance of the parties’ respective obligations under this Agreement. The terms and provisions of this Agreement will be binding upon and inure to the benefit of the Selling Shareholder, the Company and the Underwriter and their respective successors and assigns; provided that, except as otherwise provided in this Agreement, this Agreement will not be assignable by any party without the written consent of the others and any purported assignment without such consent will be invalid and of no force and effort.
