Timing, Payment Disputes and Taxes. All invoices for Services are due and payable within thirty (30) days of the date of the invoice unless the Services Order or Statement of Work provides for a different payment term. Unless otherwise agreed, You shall pay all amounts due hereunder via Automated Clearinghouse (ACH), wire, or using our E-bill portal, if applicable. We shall provide invoices electronically via email to a provided email address. If an invoicing portal is used, it shall be provided at the time the order is placed with Us. Subject to Section 4.3, all past due payments will bear interest at the rate of 1.5% per month or such lower rate as required by Law. You will pay any late payment charge upon remitting the principal amount to Us and will pay all collection costs incurred by Us. Except as otherwise specified in the Services Order, the fees do not include any taxes. You are responsible for paying all taxes, levies, including any duties, or similar items, including any value- added, sales, use or withholding taxes other than taxes on Our net income (collectively “Taxes”) associated with the Services Order and reimbursing Us for any Taxes with respect to the amounts due under any Services Order. If You are required to withhold Taxes from amounts payable to Us, You will timely remit it to the appropriate governmental authority in accordance with applicable laws and you will promptly furnish Us with the official receipt of payment of such Taxes to the appropriate taxing authority. You will not rely on Us to determine taxability and You are ultimately responsible for assessing and paying any applicable Taxes. If You provide Us with an incorrect ship-to address or, where applicable, You do not provide Us with a valid tax exemption certificate prior to placing an Order, We will not provide you with a credit for such Taxes and You will be responsible for getting a refund from the applicable tax authority.

  • Payment Disputes We will not exercise Our rights under Section 6.3 (Overdue Charges) or 6.4 (Suspension of Service and Acceleration) above if You are disputing the applicable charges reasonably and in good faith and are cooperating diligently to resolve the dispute.

  • Billing and Payment; Disputed Amounts 9.1 Except as otherwise provided in this Agreement, each Party shall submit to the other Party on a monthly basis in an itemized form, statement(s) of charges incurred by the other Party under this Agreement.

  • Disputes and Adjustments of Invoices In the event an invoice or portion thereof or any other claim or adjustments arising hereunder, is disputed, payment of the undisputed portion of the invoice shall be required to be made when due, with Notice of the objection given to the other Party. Any invoice dispute or invoice adjustment shall be in writing and shall state the basis for the dispute or adjustment. Payment of the disputed amount shall not be required until the dispute is resolved. The Parties agree to use good faith efforts to resolve the dispute or identify the adjustment as soon as possible in accordance with the provisions of Article Eighteen (Dispute Resolution). Upon resolution of the dispute or calculation of the adjustment, any required payment shall be made within fifteen (15) calendar days of such resolution along with interest accrued at the Interest Rate from and including the due date, but excluding the date on which the payment is made. Inadvertent overpayments shall be returned upon request or deducted by the Party receiving such overpayment from subsequent invoices, with interest accrued at the Interest Rate from and including the date of such overpayment to but excluding the date repaid or deducted by the Party receiving such overpayment. Any dispute with respect to an invoice is waived unless the other Party is Notified in accordance with this Section 9.4 within twelve (12) months after the invoice is rendered or any specific adjustment to the invoice is made. If an invoice is not rendered within twelve (12) months after the close of the month during which performance giving rise to the payment obligation occurred (or in the case of amounts based on CAISO invoices within twelve (12) months after the close of the month during which such invoice or revised invoice giving rise to the payment obligation was rendered), the right to payment for such performance is waived.

  • Payment and Taxes 3.1 The initial Payment Period for a Lease shall begin on the first day of the month following the Commencement Date. Customer will remit each Payment payable hereunder to the bank account specified in the invoice sent by IBM. If any Payment is due on a non-Business Day, then such Payment shall become due and payable on the next Business Day.

  • Dispute fees PayPal will charge a Dispute fee to sellers for facilitating the online dispute resolution process for transactions that are processed either through a buyer’s PayPal account or through a PayPal guest checkout. The Dispute fee applies when the buyer pursues a claim directly with PayPal, a chargeback with their card issuer, or a reversal with their bank. The Dispute fee will be charged at either the Standard Dispute fee rate or the High Volume Dispute fee rate. The Dispute fee will be charged in the currency which you selected for the original transaction listing. If the transaction was in a currency not listed in the Dispute fee table, the fee charged will be in your primary holding currency. The Dispute fee will be deducted from your PayPal account after the claim is decided. The Dispute fee amount will be determined when the dispute is created. The fee is based on the ratio of the total transaction amount of all Item Not Received and Significantly Not as Described claims you receive compared to the total amount of your sales for the previous three calendar months. Your total claims include all Item Not Received and Significantly Not as Described claims that are filed either directly with and escalated to PayPal or with the buyer’s card issuer or bank. Your total claims do not include claims for Unauthorized Transactions. For example, for the month of September, your disputes ratio will be calculated by considering your total claims to sales ratio over June, July and August. The claims ratio for September will determine the dispute fee for all claims filed in October. If your Disputes Ratio is 1.5% or more and you had more than 100 sales transactions in the previous three full calendar months, you will be charged the High Volume Dispute fee for each dispute. Otherwise, you will be charged the Standard Dispute fee for each dispute. You will not be charged a Standard Dispute fee for disputes that are: • Inquiries in PayPal’s Resolution Center that are not escalated to a claim with PayPal. • Resolved directly between you and the buyer and not escalated to a claim with PayPal. • Filed by the buyer directly with PayPal as an Unauthorized Transaction.

  • Reimbursable Expenses; Maximum Total Payment; Invoicing District will make no payment until this Contract is fully executed by the authorized representatives of both parties.
