Title Affidavits, Etc. (a) If requested by the Title Company, Owner shall deliver (i) one or more reasonable and customary title affidavits executed by Owner, certifying to factual matters concerning Owner or the Property which are within the knowledge of Owner, (including, without limitation, any reasonable and customary affidavit which may be required in order to omit from title insurance coverage any exceptions for judgments, bankruptcies or other returns against persons or entities, other than Owner, whose names are the same as or similar to Owner's name), (ii) documents evidencing Owner's payment of franchise or unincorporated business taxes, as applicable, and (iii) any other documents reasonably requested by the Title Company to issue the title insurance required pursuant to this Agreement. (b) If requested by the Title Company, the Company shall deliver (i) one or more reasonable and customary title affidavits executed by the Company, certifying to factual matters concerning the Company which are within the knowledge of the Company (including without limitation any reasonable and customary affidavit which may be required in order to omit from title insurance coverage any exceptions for judgments, bankruptcies or other returns against persons or entities, other than the Company, whose names are the same as or similar to Company's name), (ii) documents evidencing Company's payment of franchise or unincorporated business taxes, as applicable, and (iii) any other documents reasonably requested by the Title Company to issue the title insurance required pursuant to this Agreement.

Title Affidavits, Etc. Each Seller shall use commercially reasonable efforts (such as furnishing the Title Company with an affidavit which may be required to establish that an instrument or document is no longer in effect or applicable to its Property) to cause all matters that do not appear to be a valid exception to the applicable Seller’s title to its Property (including, without limitation, references to instruments or documents which on their face or by law are no longer effective and matters which have no apparent applicability to its Property) to be omitted as exceptions to the Title Commitments and/or the Title Policies.

Title Affidavits, Etc. Optionor agrees that it shall execute any instruments, agreements, affidavits or other documentation reasonably required by the title company insuring Optionee's title in order to effectuate the transaction contemplated hereby, and Optionor further agrees to execute any and all affidavits required by such title company as a condition to its insuring such title as aforesaid.
