Title to, Condition and Sufficiency of Properties and Assets. (a) Each member of the Watco Group has (i) good and valid indefeasible fee simple title to each item of real property that is owned by such member of the Watco Group related to the Business, in each case, as set forth on Schedule 5.8(a)(i) (the “Watco Owned Real Property”) and (ii) a valid leasehold interest in each real property which is leased by such member of the Watco Group related to the Business, in each case, as set forth on Schedule 5.8(a)(ii) (the “Watco Leased Real Property” and together with Watco Owned Real Property, the “Watco Real Property”), in each case with respect to clauses (i) and (ii), free and clear of Liens, except for Permitted Liens and the Liens referred to on Schedule 5.8(a)(iii). Except as set forth on Schedule 5.8(a)(i), there are no outstanding options, rights of first offer or rights of first refusal to purchase any Watco Owned Real Property or any portion thereof or interest therein. Other than the mortgages and/or deeds of trust in process of being released (which, for the avoidance of doubt, will be released pursuant to and in accordance with Section 3.12(b)), none of the Watco Owned Real Property is subject to any mortgage or deed of trust. (b) Each lease or other Contract (including any option to purchase contained therein) pursuant to which any member of the Watco Group leases as tenant any Watco Leased Real Property (each, a “Watco Lease”) is in full force and effect, valid and binding on the applicable member of the Watco Group party thereto, and enforceable in accordance with its terms against such member of the Watco Group and, to the Knowledge of Watco, each other party thereto, free and clear of all Liens (other than Permitted Liens). The Watco Leases are not subject to any ground leases, mortgages, deeds of trust or other superior Liens or interests that would entitle the holder thereof to interfere with or disturb in the tenant’s use and enjoyment of the leased premises or the exercise of the tenant’s rights under the Watco Leases so long as the tenant is not in default or breach of such Watco Lease. There exists no material breach, default or event of default (or any event that with notice or lapse of time or both would become a material breach or default) on the part of any member of the Watco Group, or, to the Knowledge of Watco, any other party under any Watco Lease.   • Condition and Sufficiency of Assets The buildings, plants, structures, and equipment of the Acquired Companies are structurally sound, are in good operating condition and repair, and are adequate for the uses to which they are being put, and none of such buildings, plants, structures, or equipment is in need of maintenance or repairs except for ordinary, routine maintenance and repairs that are not material in nature or cost. The building, plants, structures, and equipment of the Acquired Companies are sufficient for the continued conduct of the Acquired Companies' businesses after the Closing in substantially the same manner as conducted prior to the Closing.

(c) Each item of equipment which is a Purchased Asset (other than equipment set forth on Schedule 6.14(c) of the Seller Disclosure Schedule) is in good operating condition for the purposes for which it is currently being used, subject to ordinary wear and tear, is free from any material defect and has been maintained in all material respects in accordance with generally accepted industry practice. (d) The Seller has not experienced any out-of-stock or back-order situation with respect to the Evamist Business (e) The Seller does not own or control any Evamist Product Improvements, and has not granted to any third party or enabled any third party to make any Evamist Product Improvements.

(b) Section 3.16(b) of the Disclosure Letter sets forth a true, complete and correct list of all real property leased by the Company or any of its Subsidiaries. Neither the Company nor any of its Subsidiaries owns any real property. Each of the Company and its Subsidiaries is in compliance in all material respects with the terms of all leases for real property to which it is a party. Neither the Company nor any of its Subsidiaries is a party to any lease, assignment or similar arrangement under which the Company or any Subsidiary is a lessor, assignor or otherwise makes available for use by any third party any portion of the owned or leased real property. (c) The facilities, property and equipment owned, leased or otherwise used by the Company or any of its Subsidiaries that are material to the functioning of the businesses of the Company and its Subsidiaries are in a good state of maintenance and repair, free from material defects and in good operating condition (subject to normal wear and tear) and suitable for the purposes for which they are presently used. (d) All tangible assets which are leased by the Company or any of its Subsidiaries that are material to the functioning of the businesses of the Company and its Subsidiaries have been maintained with the manufacturers' standards and specifications required by each such lease such that, at each such termination of the lease, such assets can be returned to their owner without any further material obligation on the part of the Company or any of its Subsidiaries with respect thereto.

  • Title to Properties; Priority of Liens Each Borrower and Subsidiary has good and marketable title to (or valid leasehold interests in) all of its Real Estate, and good title to all of its personal Property, including all Property reflected in any financial statements delivered to Agent or Lenders, in each case free of Liens except Permitted Liens. Each Borrower and Subsidiary has paid and discharged all lawful claims that, if unpaid, could become a Lien on its Properties, other than Permitted Liens. All Liens of Agent in the Collateral are duly perfected, first priority Liens, subject only to Permitted Liens that are expressly allowed to have priority over Agent’s Liens.
