Title to the Purchased Units. The Seller has good and valid title to the Purchased Units and owns all the issued and outstanding Units, beneficially and of record, free and clear of all Liens. Upon delivery of and payment for the Units at the Closing, the Purchaser will acquire good and valid title to the Purchased Units, free and clear of any Liens.

Title to the Purchased Units. As of the date hereof, the Seller beneficially owns and has possession of the Purchased Units. Upon delivery of the Purchased Units in book entry to the brokerage account designated by the Purchaser, against payment therefor as provided in Section 1.2 hereof, the Purchasers will receive from the Seller title thereto, free and clear of all security interests, pledges, liens, mortgages, title restrictions, charges and other encumbrances or adverse claims of any kind, except as described in the Fourth Amended and Restated Partnership Agreement, dated as of September 14, 2011 (the “Partnership Agreement”), with respect to Series A Preferred Units of the Partnership in general (a “Lien”).
Title to the Purchased Units. Seller is the owner of all of the Purchased Units that Seller is transferring pursuant to this Agreement and the Purchased Units represent Seller’s entire ownership interest in the Company. At the Closing, Seller will transfer and deliver to Buyer good and valid title to all of the Purchased Units that Seller is transferring pursuant to this Agreement, free and clear of any Liens (other than restrictions on transfer arising under applicable laws relating to securities).
Title to the Purchased Units. Seller owns beneficially and has good title to the Purchased Units, free and clear of any Encumbrances (other than any restrictions on transfer under the Securities Act and state securities laws). The Purchased Units are held in book entry form on the books and records of the Transfer Agent.
