To Give Notice. It becomes the duty of an agent to tell his principal of all facts which vitally affect the subject matter of the agency and which are obtained within the scope of the employment. Matters learned while outside the scope of the employment and which the agent never expects to use need not be communicated to the principal. This rule extends beyond the duty to inform the principal of conflicting interests of third parties in a particular transaction, and imposes upon the agent a duty to give all information which materially affects the interest of the principal. Thus, knowledge of facts which have greatly advanced the value of property placed with an agent for sale should be communicated before the property is sold at a price previously established by the principal.
