Training and Services. Contractor warrants that the training and other services it provides to Purchaser pursuant to this Contract will conform to reasonable industry standards of the commercial aerospace and satellite communications industry practice for work similar in type, scope, and complexity to the applicable Work at the time such training or other services are provided. In the event Contractor breaches this warranty, as Purchaser’s sole remedy, Contractor shall apply reasonable efforts to correct the deficiencies in the provision of such training and other services where it is practicable to do so (e.g., cannot correct deficiencies in or redo Launch Support Services from and after Launch).
Training and Services. Contractor warrants that the Training and other Services it provides to MSV pursuant to this Contract will conform to the highest professional standards of the commercial aerospace and satellite communications industry practice for work similar in type, scope, and complexity to the Work.
Training and Services. Avaya will pay for Services pursuant to Sections 13 at Licensor's then current prices or rates and Training at the rates set forth in Exhibit C. Training and services shall be invoiced upon completion. Unless payment terms more favorable to Avaya are stated on Licensor's invoices and Avaya elects to pay on such terms, undisputed invoices for Services and Training shall be payable no later than the forty-fifth (45th) day after the date of receipt of a proper invoice. Increase coordination, connecting with direct services and public awareness with local schools and resource/training centers to provide opportunities for impacted to become re-skilled.
Training and Services. (a) Within a reasonable time period, and after the Product is made available by ADVENT, ADVENT shall train and maintain a sufficient number of capable technical and sales personnel as SAGENT and ADVENT shall mutually deem necessary and appropriate for ADVENT to carry out its obligations and responsibilities under this Agreement. (b) Regardless of whether a Reseller or an End User purchases maintenance or support services, ADVENT shall provide the appropriate level of support, skilled instruction and assistance to End Users using the Solution(s). In any event, ADVENT must provide all support for its Application(s). (c) For Products used internally by ADVENT in accordance with the terms of this Agreement, ADVENT shall purchase from SAGENT on an annual basis, Levex 0 Xxxport or Level 2 Support in accordance with the terms of the then current support and maintenance programs made available by SAGENT for the fees described in Exhibit B. (d) For Software Copies distributed by ADVENT in accordance with the terms of this Agreement, ADVENT may purchase from SAGENT for the initial year, and thereafter may purchase on an annual basis, Levex 0 Xxxport or Level 2 Support in accordance with the terms of the then current support and maintenance programs made available by SAGENT for the fees described in Exhibit B.
Training and Services. OCTEL and BUYER do not contemplate the provision under this Agreement of assistance or training services in any country. Any such assistance or training services to be provided will be the subject of a separate agreement between the appropriate parties.
Training and Services. (a) ADP will provide first line support for the Products to End Users. Such support shall include, without limitation, receipt of calls, problem and question intake, installation assistance, problem identification and assistance, efforts to create repeatable demonstrations of reported Product errors, and, if applicable, the replacement of any defective media or distribution of updates. SAGENT shall have no obligation to furnish any assistance, information or documentation to any third party. (b) In consideration of ADP's payment of applicable fees set forth in Section 8 herein, Sagent agrees to provide to ADP Basic Maintenance; and Level 1 Support and Level 2 Support in accordance with the terms and conditions set forth in Sagent's Premier Support Package, a copy of which is attached hereto as Schedule C hereto and incorporated into this Agreement by reference. Pursuant to Sagent's Premier Support Package, Sagent shall provide second level support and maintenance that will enable ADP to perform support and maintenance for its customers. Sagent will provide telephone consultation to ADP with respect to any customer questions which ADP cannot adequately answer, and will provide bug and error fixes, work around, and updates in accordance with the response guideline below, or, if not related to a reported problem, as they become available. Without limitation of the other provisions hereof, to the extent Sagent provides an error correction through a temporary fix (which shall at a minimum consist of sufficient programming and operating instructions to implement the error correction), Sagent shall include the error correction promptly in a subsequent release of the Product. From time to time, but in no event less frequently than once per twelve (12) months, Sagent shall issue to ADP new releases containing error corrections and other modifications and enhancements. Sagent shall provide reasonable assistance to help ADP install and operate each new release. Sagent agrees that the warranty obligations set forth in Section 6(a)(iv) shall remain in effect throughout the Maintenance Terms (as defined herein). SAGENT shall assign a severity level in accordance with the standards set forth in Schedule C to each reported Product problem or question, and confirm with ADP the severity level so assigned, and SAGENT's efforts to answer each such problem or question shall be commensurate with such severity level. Related to Training and Services

  • Training and Support Licensor shall offer installation support to the Licensee and each of the Members, including assisting with the implementation of any Licensor software. Licensor will provide appropriate training to Licensee and Member staff relating to the use of the Licensed Materials and any Licensor software. Licensor will offer reasonable levels of continuing support to assist Licensee and Members in use of the Licensed Materials, including providing help files and other appropriate user documentation in connection with the use of and access to Licensed Materials. Licensor will, at a minimum, make its personnel available by email, telephone or via the Web, or in person during Licensor’s regular business hours, Monday through Friday, for training and user access support.

  • Training and Promotion a. The contractor will assist in locating, qualifying, and increasing the skills of minorities and women who are applicants for employment or current employees. Such efforts should be aimed at developing full journey level status employees in the type of trade or job classification involved. b. Consistent with the contractor's work force requirements and as permissible under Federal and State regulations, the contractor shall make full use of training programs, i.e., apprenticeship, and on-the-job training programs for the geographical area of contract performance. In the event a special provision for training is provided under this contract, this subparagraph will be superseded as indicated in the special provision. The contracting agency may reserve training positions for persons who receive welfare assistance in accordance with 23 U.S.C. 140(a). c. The contractor will advise employees and applicants for employment of available training programs and entrance requirements for each. d. The contractor will periodically review the training and promotion potential of employees who are minorities and women and will encourage eligible employees to apply for such training and promotion.

  • Training Services Training Services may include pre-packaged training Products, and/or the development or customization of training programs as requested, including Live Training, Computer Based/Multi-Media Training which encompasses Internet-Delivered Training, and/or Video Based Training.

  • Training and Orientation (a) No employee shall be required to work on any job or operate any piece of equipment until he/she has received proper training and instruction. (b) The Employer shall provide sufficient and adequate training and/or orientation to any employee working in a new or unfamiliar work area or position.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Dining Services The Contract is for a space in a University Housing & Dining Services (“UHDS”) facility and not for a particular room or type of housing. By signing this Contract, you agree to accept your residence assignment, and understand this assignment may change. Once you receive a key to your assigned residence or move personal belongings into your room (whichever comes first) you are considered to have taken occupancy (“Occupancy”) and will incur charges. You also agree to familiarize yourself and comply with all University policies governing occupancy, including those set forth in this Contract and in the UHDS publication Student Policy and Information Guide, to be considerate of other residents and to respect the rights of others at all times. The Student Policy and Information Guide may be found at: xxxx://xxxx.xxxx/policy-guide, as well as in paper form when requested at the University Housing & Dining Services Administrative Offices.

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation.   • REGION AND SERVICES The Contractor’s Region is: Region 1. The Contractor’s IDIQ construction service type is: General Construction. The Contractor has agreed to perform work outside the Region.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.
