Except as described in Schedule 2.2(v), no director or officer of Angeles Acquisition or any Angeles Entity or any member of his or her immediate family, is a party to any Contract or other business arrangement or relationship of any kind with Angeles Acquisition or any Angeles Entity or, except for the ownership of not more than 1% of the stock of a company having a class of securities registered pursuant to the Exchange Act, has an ownership interest in any business, corporate or otherwise, which is a party to, or in any property which is the subject of, business arrangements or relationships of any kind with any Angeles Acquisition or Angeles Entity.
