Transfer of Residents. Management Company agrees that it will not, as long as it manages for Tenant under this Agreement, without the prior written consent of the Tenant, encourage or solicit the transfer of any resident of the Facility to another facility in which Management Company has an interest which is not owned by Tenant, unless the physical or medical condition of the resident indicates that such a transfer would be appropriate. The Management Company may, however, freely discuss and not inhibit such a transfer when the original basis for the subject resident to be admitted to the Tenant’s Facility was to acquire temporary accommodations until a room became available in another facility where the resident prefers to live.

The Management Company may, however, freely discuss and not inhibit such a transfer when the original basis for the subject resident to be admitted to the Tenant’s Facility was to acquire temporary accommodations until a room became available in another facility where the resident prefers to live.
Transfer of Residents. During the Term and for one (1) year after termination, Management Company agrees that neither it nor its Affiliates or Subsidiaries will, without the prior written consent of the Tenant, encourage or solicit the transfer of any resident of the Community to another Community in which Management Company, its Affiliate or its Subsidiary has an interest which is not owned by Tenant, unless the physical or medical condition of the resident indicates that such a transfer would be appropriate. Notwithstanding the foregoing, this paragraph shall not apply to postings or advertisements by the Management Company which are directed to the general public in the ordinary course of business.
Transfer of Residents. Upon 3 days written notice to the resident, the landlord may transfer the resident to an equally suitable apartment or room other than originally assigned for the purpose of consolidating residents or other justifiable reasons. Failure to comply with said notice will result in penalties or fees, including but not limited to increased rent charges.

Except as required for medically appropriate reasons, at the time of and for a period of one (1) year following the expiration or earlier termination of this Lease, neither Lessee nor any of its Affiliates will recommend or solicit the removal or transfer of any resident or patient from the Leased Property to any other nursing or health care facility, or to any senior housing or retirement housing facility.

Transfer of Residents. After the Closing Date, the Alterra Entities agree not to actively solicit (or permit the active solicitation) for transfer any residents of the Properties.

Transfer of Residents. Lessee acknowledges that a fair return to Lessor on and protection of its investment in the Leased Property is dependent, in part, on Lessee’s dedication to the business and the concentration on the Leased Property during the Term of the business of Lessee and its Affiliates in the geographical area of such Facility. Lessee further acknowledges that the diversion of residents or patient care activities from any Facility to other facilities owned or operated, directly or indirectly, by Lessee or its Affiliates, or any other party, except as may be medically necessary, at any time during the Term will have a material adverse affect on the value and utility of such Facility. Therefore, Lessee covenants that during the Term, and for a period of one (1) year thereafter, Lessee shall not recommend or solicit the removal or transfer of any resident or patient from either Facility to any other facility or institute; except as may be required for medically appropriate reasons.
