Transfer of the Plant to the Government following Termination. 14.10.1 On the Transfer Date, upon full payment by the Government of the amount due in the Termination Invoice under Clause 14.9, the Concessionaire shall transfer to the Government or its designee and the Government shall acquire from the Concessionaire, all of the Concessionaire's right, title and interest in and to the Transferable Assets free of all Liens. The "Transferable Assets" shall comprise the Plant, the Site and the Back-Up Metering System, in each case together with all equipment and machinery, including spare parts and vehicles and all operating manuals and design drawings relating thereto.

  • Transfer of Project Records Following Termination Following the termination of this Agreement for any reason, Contractor, without additional compensation, will provide any and all records relating to the goods and/or services provided by Contractor pursuant to this Agreement to the District and any other vendors that the District may engage to provide the same or similar goods and/or services in the future. Without additional compensation, Contractor shall in good faith cooperate with the District and any other vendors that the District may engage to ensure a smooth transition from Contractor to another vendor and to minimize any disruption in the provision of goods and/or services provided by Contractor to the District.

Any balance of the Miscellaneous Proceeds will be paid to Borrower. In the event of a Partial Devaluation where the fair market value of the Property immediately before the Partial Devaluation is less than the amount of the sums secured immediately before the Partial Devaluation, all of the Miscellaneous Proceeds will be applied to the sums secured by this Security Instrument, whether or not the sums are then due, unless Borrower and Lender otherwise agree in writing.
