TRANSFER OR ASSIGNMENT OF CONTRACT. ITS may transfer or assign the Contract to another New York State agency or entity at its sole discretion by informing Contractor in writing of such a transfer or assignment. Contractor shall execute any documents required to accomplish the transfer or assignment of the Contract. Contractor shall comply with any instructions from ITS to accomplish the transfer/assignment of the Contract at no additional cost to the State.
TRANSFER OR ASSIGNMENT OF CONTRACT a. Neither the Contract nor any interest herein shall be assigned, pledged or otherwise transferred by the Contractor without the written consent of the MBTA, except in the case of a transfer of all or substantially all of the Contractor’s assets provided that all obligations of this Contract are assumed by the controlling entity. If the Contractor makes any such assignment, pledge or other transfer without the written consent of the MBTA, the Contract shall be voidable at the election of the MBTA. The MBTA's consent to any such assignment, pledge or other transfer may impose such additional conditions thereon as may be deemed necessary to ensure the performance of the terms of the Contract by the assignee. Moreover, unless otherwise agreed to in writing by the MBTA, any transfer by the Contractor shall not release the Contractor of its liability under the Contract.
TRANSFER OR ASSIGNMENT OF CONTRACT. This contract shall not be assigned or transferred in any way whatsoever without the prior written consent of IASL which may be withheld at its discretion.
