Transmission of Custodial Files. Written or electronic instructions as to the method of shipment and shipper(s) the Custodian is directed to utilize in connection with transmission of mortgage files and loan documents in the performance of the Custodian’s duties hereunder shall be delivered by the Servicer (a “Requesting Party”), to the Custodian prior to any shipment of any mortgage files and loan documents hereunder. The Requesting Party will arrange for the provision of such services at its sole cost and expense (or, at the Custodian’s option, reimburse the Custodian for all costs and expenses incurred by the Custodian consistent with such instructions) and will maintain such insurance against loss or damage to mortgage files and loan documents as the Requesting Party deems appropriate. Without limiting the generality of the provisions of Section 23 above, it is expressly agreed that in no event shall the Custodian have any liability for any losses or damages to any person, including without limitation, any Requesting Party, arising out of actions of the Custodian consistent with instructions of the Requesting Party.
Transmission of Custodial Files. Written instructions as to the method of shipment and shipper(s) the Custodian is directed to utilize in connection with transmission of mortgage files and loan documents in the performance of the Custodian's duties hereunder shall be delivered by the Purchaser or its designee to the Custodian prior to any shipment of any mortgage files and loan document hereunder at the cost and expense of the Purchaser and the Purchaser will maintain such insurance against loss or damage to mortgage files and loan documents as the Purchaser deems appropriate. Without limiting the generality of the provisions of Sections 25 and 26 above, it is expressly agreed that in no event shall the Custodian have any liability for any losses or damages to any person, including, without limitation, the Purchaser or its designees arising out of actions of the Custodian consistent with instructions of Purchaser or its designees. In the event the Custodian does not receive such written instructions, the Custodian may utilize any nationally recognized courier service and shall be indemnified as provided herein for such usage.

Without limiting the generality of the provisions of Section 26 above, it is expressly agreed that in no event shall the Custodian have any liability for any losses or damages to any person, including without limitation, the Trustee arising out of actions of the Custodian consistent with instructions of the Trustee. In the absence of written instructions, the Custodian may ship the Custodial Files by any nationally recognized courier and will be held harmless against any losses as stated in Section 26.

The Trustee, the Master Servicer or the Servicer, as applicable, will arrange for the provision of such services at the reasonable cost and expense of such Trustee, Master Servicer or Servicer, as applicable (or, at the Custodian’s option, such Trustee, the Master Servicer or Servicer shall reimburse the Custodian for all costs and expenses incurred by the Custodian consistent with such instructions) and will maintain such insurance against loss or damage to mortgage files and loan documents as the Trustee deems appropriate. Without limiting the generality of the provisions of Section 25 above, it is expressly agreed that in no event shall the Custodian have any liability for any losses or damages to any person, including without limitation, the Trustee, arising out of actions of the Custodian consistent with instructions of such Trustee, Master Servicer or Servicer.

Subject to the last sentence hereof, written instructions as to the method of shipment and shipper(s) the Custodian is directed to utilize in connection with transmission of mortgage files and loan documents in the performance of the Custodian's duties hereunder shall be delivered by the Trustee to the Custodian prior to any shipment of any mortgage files and loan documents hereunder. The Trustee will arrange for the provision of such services at the reasonable cost and expense of DLJMC (or, at the Custodian's option, DLJMC shall reimburse the Custodian for all costs and expenses incurred by the Custodian consistent with such instructions) and will maintain such insurance against loss or damage to mortgage files and loan documents as DLJMC deems appropriate. Without limiting the generality of the provisions of Section 25 above, it is expressly agreed that in no event shall the Custodian have any liability for any losses or damages to any person, including without limitation, DLJMC and the Trustee arising out of actions of the Custodian consistent with instructions of DLJMC and the Trustee. In the event the Trustee does not provide written instruction to the Custodian pursuant to the first sentence hereof, the Custodian will ship any mortgage files and loan documents using any nationally recognized courier service.

Without limiting the generality of the provisions of Section 25 above, it is expressly agreed that in no event shall the Custodian have any liability for any losses or damages to any person, including without limitation, the Master Servicer arising out of actions of the Custodian consistent with instructions of the Master Servicer.

The cost of such services shall be borne by the Purchaser or, at the Custodian's option, shall be borne by the Custodian and reimbursed by the Purchaser. Without limiting the generality of the provisions of Section 24 above, it is expressly agreed that in no event shall the Custodian have any liability for any losses or damages to any person, including without limitation, the Company and the Purchaser, arising out of actions of the Custodian consistent with instructions of the Company or the Purchaser, as applicable.
