Trustees' Meetings. Annual and special meetings of the Trustees or any Committee may be held from time to time, in each case, upon the call of such officers as may be thereunto authorized by the By-Laws or vote of the Trustees, or by any two (2) Trustees, or pursuant to a vote of the Trustees adopted at a duly constituted meeting of the Trustees, and upon such notice as shall be provided in the By-Laws. Any such meeting may be held within or without the state of Delaware. The Trustees may act with or without a meeting, and a written consent to any matter, signed or evidenced by electronic transmission by a Majority of the Trustees, shall be equivalent to action duly taken at a meeting of the Trustees, duly called and held. Except as otherwise provided by the 1940 Act or other applicable law, or by this Declaration of Trust or the By-Laws, any action to be taken by the Trustees may be taken by a majority of the Trustees present at a meeting of Trustees (a quorum, consisting of at least a Majority of the Trustees, being present), within or without Delaware. If authorized by the By-Laws, all or any one or more Trustees may participate in a meeting of the Trustees or any Committee thereof by means of conference call or similar means of communication by means of which all Persons participating in the meeting can hear each other, and participation in a meeting pursuant to such means of communication shall constitute presence in person at such meeting. The minutes of any meeting thus held shall be prepared in the same manner as a meeting at which all participants were present in person.

Trustees' Meetings. The Trustees shall hold meetings as often as is necessary for the administration of the Plan. There shall be at least two Trustees present at a meeting except where the sole Trustee is a corporate Trustee and the Trustees shall give due notice to all the Trustees of such a meeting. Decisions made at such a meeting by a majority of the Trustees present shall be binding on all the Trustees. A written resolution signed by all the Trustees shall have the same effect as a resolution passed at a meeting.

Trustees' Meetings. 14.1 The first meeting of the initial Trustees shall be held on the date and at the time and place as the Trustees may agree, provided that the meeting shall be held not later than fifteen (15) days of the date this Trust Agreement comes into force. 14.2 At the first meeting of the initial Trustees and at the first meeting of the Trustees in each Fiscal Year thereafter the Trustees shall appoint one of their number to act as Chairperson. Where, during a Fiscal Year, the Chairperson ceases to be a Trustee, the Trustees shall appoint a new Chairperson to fill the vacancy so created for the remainder of the Fiscal Year. Trustees' Meetings. The University shall bargain with UFF prior to altering wages, hours, or any other term or condition of employment of bargaining unit faculty. If an item on a public meeting agenda of the Trustees (or of any subcommittee of the Trustees) directly impacts wages, hours, or any other term or condition of employment of bargaining unit faculty, the University shall notify UFF, and UFF shall be afforded the opportunity to consult, upon timely request, with the Trustees’ designee(s) about the item. In addition, upon timely request from UFF, UFF shall be afforded an opportunity to address the item at the Trustees meeting with the time and place on the agenda to be determined by the Trustees. Minutes of public Trustees or public committee meetings are available to UFF via xxxxxxxx.xxx.xxx at the time they are made available to the Trustees involved.

Trustees' Meetings. 11.1 Meetings of the Trustees shall be held as necessary for the administration of the Plan and all decisions relating to the Plan made by a majority of the Trustees present at any meeting of the Trustees of which due notice has been given to all the Trustees (and at which at least two of the Trustees shall be present) shall be as effective for all purposes as if such decisions had been the unanimous decisions of all the Trustees. 11.2 Where the Trustees decide to exercise any power or discretion by a majority, any Trustee who has dissented from the exercise of such power or discretion shall nevertheless, but without being responsible for any loss occasioned thereby, concur in executing or signing any deed or document and in doing any act necessary for giving effect to the exercise of the power or discretion by the majority of the Trustees. 11.3 A resolution in writing signed by the majority of the Trustees but of which due notice has been given to all of the Trustees individually shall be as effective as any resolution duly passed at a meeting of the Trustees.
