Type of Options. The Board or the Stock Option Committee is authorized to issue Incentive Stock Options ("ISOs") which meet the requirements of Section 422 of the Internal Revenue Code of 1986, as amended (the "Code"), which options are hereinafter referred to collectively as ISOs, or singularly as an ISO. The Board or the Stock Option Committee is also, in its discretion, authorized to issue options which are not ISOs, which options are hereinafter referred to collectively as Non Statutory Options ("NSOs"), or singularly as an NSO. Type of Options. Options granted pursuant to the Plan shall be authorized by action of the Board of the Company and may be designated as either incentive stock options meeting the requirements of Section 422 of the Internal Revenue Code of 1986, as amended (the "Code"), or non-qualified options which are not intended to meet the requirements of such Section 422 of the Code, the designation to be in the sole discretion of the Board of the Company. Options designated as incentive stock options that fail to continue to meet the requirements of Section 422 of the Code shall be redesignated as non- qualified options automatically without further action by the Board of the Company on the date of such failure to continue to meet the requirements of Section 422 of the Code. All Options designated as incentive stock options shall, upon shareholder approval of this Plan qualify as incentive stock options and be deemed to be qualified effective as of the date of grant. Such approval shall be retroactive and have the full legal effect of ratification by the shareholders of all options granted prior to approval as incentive stock options qualified under Section 422 of the Code. The grant of an Incentive Stock Option shall be evidenced by written confirmation in the form attached hereto as Exhibit "A."
Type of Options. Pursuant to Section 1 of the Option Agreement, Optionee was granted incentive stock options to purchase shares of Class A common stock of Hawk. The parties hereby agree to change the type of option granted under the Option Agreement from incentive stock options to non-statutory stock options.
