UCC and Other Searches. (a) On or before the date of the entry of the Interim Order, the Administrative Agent shall have received the results of UCC-1 searches conducted in State and county levels designated by the Administrative Agent in jurisdictions in which the Borrowers or any Subsidiary (other than an Unrestricted Subsidiary) is organized, conducts business or has assets, which searches shall reflect (i) the absence of Liens (other than Permitted Liens and Liens granted to secure the Existing Credit Agreement) on the assets of the Borrowers and the Subsidiaries satisfactory to the Administrative Agent and (ii) that the Liens
UCC and Other Searches. The Administrative Agent shall have received the results of (i) Uniform Commercial Code and/or similar searches made with respect to the Loan Parties in the states or provinces in which their chief executive offices are located and such other locations selected by the Agents and (ii) such tax and judgment lien searches as the Agents shall request, and each of the foregoing searches shall disclose no Liens on any assets, except for Liens permitted under subsection 9.2 or, if unpermitted Liens are disclosed, the Administrative Agent shall have received satisfactory evidence of the release of such Liens. . The agreement of each Lender to make any Extension of Credit requested to be made by it on any date (including, without limitation, its initial Extension of Credit) is subject to the satisfaction of the following conditions precedent:
UCC and Other Searches. Lender shall have received, current and appropriate Uniform Commercial Code searches for the Borrowers and the Guarantors, from all appropriate filing offices, showing only permitted and anticipated Liens acceptable to Lender in its sole discretion; and Lender shall also have received such tax lien, judgment, litigation, bankruptcy and other searches concerning each Borrower and Guarantors as the Lender requires, as may be required by Lender, in each case satisfactory to Lender in all respects.
UCC and Other Searches. The Administrative Agent shall have received the results of U.C.C.-1 searches conducted in the jurisdictions in which the Borrowers and the Restricted Subsidiaries of the Borrowers are organized, which searches shall reflect the absence of Liens, other than Permitted Liens and Liens for which the Administrative Agent has received terminations and releases in form and substance reasonably satisfactory to it.
UCC and Other Searches. The results of a Uniform Commercial Code or other applicable search showing all financing statements and other documents or instruments on file against Borrower and any of the Canadian or domestically organized or incorporated Guarantors in the offices of the Secretary of State of the States of Texas, Delaware, and Mississippi and the Province of Alberta, Canada as applicable.

  • Administrative and Other Services (a) Subadviser will, at its expense, furnish (i) all necessary investment and management facilities, including salaries of personnel required for it to execute its duties faithfully, and (ii) administrative facilities, including bookkeeping, clerical personnel and equipment necessary for the efficient conduct of the investment affairs of the Fund (excluding determination of net asset values and shareholder accounting services).

  • Stamp and other duties The Borrowers shall pay all stamp, documentary, registration or other like duties or taxes (including any duties or taxes payable by any of the Creditors) imposed on or in connection with any of the Underlying Documents, the Security Documents or the Loan and shall indemnify the Creditors or any of them against any liability arising by reason of any delay or omission by the Borrowers to pay such duties or taxes.

  • Field Examination and Other Fees Subject to any limitations set forth in Section 5.7(c), Borrowers shall pay to Agent, field examination, appraisal, and valuation fees and charges, as and when incurred or chargeable, as follows (i) a fee of $1,000 per day, per examiner, plus out-of-pocket expenses (including travel, meals, and lodging) for each field examination of any Loan Party or its Subsidiaries performed by or on behalf of Agent, and (ii) the fees, charges or expenses paid or incurred by Agent if it elects to employ the services of one or more third Persons to appraise the Collateral, or any portion thereof.

  • Utilities and Other Services Tenant shall be liable for and shall pay directly all charges, fees and amounts (together with any applicable penalties, late charges, taxes or assessments thereon) when due for water, gas, electricity, air conditioning, heat, septic, sewer, refuse collection, telephone and any other utility charges or similar items in connection with the use or occupancy of the Leased Property. Landlord shall not be responsible or liable in any way whatsoever for the quality, quantity, impairment, interruption, stoppage, or other interference with any utility service, including, without limitation, water, air conditioning, heat, gas, electric current for light and power, telephone, or any other utility service provided to or serving the Leased Property or any damage or injury caused thereby. No such interruption, termination or cessation of utility services shall relieve Tenant of its duties and obligations pursuant to this Lease, including, without limitation, its obligation to pay all Rent as and when the same shall be due hereunder.

  • Adjustments and Other Rights The Exercise Price and the Warrant Share Number shall be subject to adjustment from time to time as follows; provided that if more than one subsection of this Section 12 is applicable to a single event, the subsection shall be applied that produces the largest adjustment and no single event shall cause an adjustment under more than one subsection of this Section 12 so as to result in duplication:

  • Taxes and Other Liens Each Related Person shall pay and discharge promptly all taxes, assessments and governmental charges or levies imposed upon it or upon its income or upon any of its Property as well as all claims of any kind (including claims for labor, materials, supplies and rent) which, if unpaid, might become a Lien upon any or all of its Property; provided, however, each Related Person shall not be required to pay any such tax, assessment, charge, levy or claim if the amount, applicability or validity thereof shall currently be contested in good faith by appropriate proceedings diligently conducted by or on behalf of such Related Person and if such Related Person shall have set up reserves therefor adequate under GAAP.

  • Documents and Other Materials I will keep and maintain adequate and current records of all Proprietary Information and Company-Related Developments developed by me during my employment, which records will be available to and remain the sole property of the Company at all times. All files, letters, notes, memoranda, reports, records, data, sketches, drawings, notebooks, layouts, charts, quotations and proposals, specification sheets, program listings, blueprints, models, prototypes, or other written, photographic or other tangible material containing Proprietary Information, whether created by me or others, which come into my custody or possession, are the exclusive property of the Company to be used by me only in the performance of my duties for the Company. Any property situated on the Company’s premises and owned by the Company, including without limitation computers, disks and other storage media, filing cabinets or other work areas, is subject to inspection by the Company at any time with or without notice. In the event of the termination of my employment for any reason, I will deliver to the Company all files, letters, notes, memoranda, reports, records, data, sketches, drawings, notebooks, layouts, charts, quotations and proposals, specification sheets, program listings, blueprints, models, prototypes, or other written, photographic or other tangible material containing Proprietary Information, and other materials of any nature pertaining to the Proprietary Information of the Company and to my work, and will not take or keep in my possession any of the foregoing or any copies.

  • Bills and Other Disbursements Upon receipt of Instructions, the Custodian shall pay, or cause to be paid, all bills, statements, or other obligations of a Fund.
