UNPROFITABLE GAS OR OPERATIONS. 12.1. In the event it has become unprofitable for Processor to (A) continue to receive Processing Customer’s Gas at the Plant Receipt Point, or (B) continue to operate its Processing Plant (or any portion thereof), in each case for a period of at least 2 consecutive Accounting Periods, and Processor reasonably determines that the unprofitable receipt of Gas or operation of its Processing Plant will likely continue, Processor shall have the right to give Processing Customer a written notice of unprofitability, which notice shall include sufficient documentation to substantiate the claim of unprofitability.

UNPROFITABLE GAS OR OPERATIONS. 11.1. In the event it has become unprofitable for Processor to continue to operate its Processing Plant for a period of at least 2 consecutive Accounting Periods, and Processor reasonably 7 of General Terms and Condition determines that the unprofitable operations of its Processing Plant will likely continue, Processor shall have the right to give Producer a written notice of unprofitability, which notice shall include sufficient documentation to substantiate the claim of unprofitability. Processor may terminate this Agreement upon the expiration of 30 days following the written notice of unprofitable operations.
UNPROFITABLE GAS OR OPERATIONS. In the event it has become unprofitable for Gatherer, in its reasonable discretion, to (i) continue to receive Gas at any Receipt Point or (ii) continue to operate the Gathering System, in each case for a period of at least [***] Accounting Periods, then Gatherer shall have the right to give Shipper a written notice of unprofitability. The Parties shall then attempt in good faith to negotiate mutually acceptable terms to provide for continued delivery of Gas to the Receipt Point. If the Parties cannot agree on those terms within thirty (30) days, Gatherer may notify Shipper that it will terminate this Agreement not less than sixty (60) days prior to the date that such termination is to become effective. Notwithstanding anything in this Article 14 to the contrary, for the Initial Period, Gatherer’s right to declare unprofitability shall be temporarily suspended.
