Common use of Unreasonable Compensation Clause in Contracts

Unreasonable Compensation. If any portion of the Compensation and Benefits provided by this Agreement should be deemed to be unreasonable or disproportionate to the services the Employee provides (under 12 C.F.R. 364 or other applicable law), the Company shall reduce such Compensation and Benefits to the maximum amount that would be reasonable or proportionate, and such circumstance shall not constitute Good Reason for Employee’s termination of the Agreement.
