Update Certificates. Notwithstanding Section 7.2 of each of the PSAs, Purchaser shall not exercise its right, if any, to terminate any PSA under numbered clause (ii) in Section 7.2 of such PSA on the basis of any breach of a Property Representation unless and until the aggregate damages (including a diminution in the value of the Property) resulting from all untruths, inaccuracies or incorrectness with respect to Property Representations in all Update. Certificates delivered pursuant to all PSAs, in the aggregate, are reasonably estimated to exceed three percent (3%) of the aggregate purchase prices in all of the PSAs (the “Aggregate Purchase Price”) so long as Seller grants to Purchaser in writing in a form reasonably satisfactory to Purchaser at that time the right to pursue Seller for damages following Closing on account of all such breaches of Property Representations as a Qualifying Claim notwithstanding Purchaser’s knowledge of such breaches) and Claim(s) prior to the Closing.

Update Certificates. Prior to Closing, each of Seller and Purchaser shall promptly deliver to the other a certificate (an “Update Certificate”) if it becomes aware of any material fact or condition that causes or constitutes a breach of any of Seller’s or Purchaser’s representations or warranties as of the Contract Date, or if it becomes aware of any material fact or condition that would cause or constitute a breach of such representation or warranty had such representation or warranty been made as of the time of occurrence or discovery of such fact or condition. In addition, each of Seller and Purchaser shall deliver an Update Certificate to the other through the Closing escrow. In the event that Purchaser instead causes a Purchaser’s Designee to take title to the Hotel, then such Update Certificate at Closing that otherwise would have been delivered by Purchaser shall instead be delivered by such Purchaser’s Designee (with any representations or warranties specifying the type of entity or jurisdiction of formation of the certifying party to be modified as appropriate for such Purchaser’s Designee). Prior to Closing, Seller and Purchaser shall promptly notify the other in writing if it becomes aware of the occurrence of any material breach of any covenant in this Article 5 or of the occurrence of any event that makes the satisfaction of the conditions in Article 6 impossible or unlikely.
Update Certificates. Madden shall have received (i) a favorable certificate from Seller, dated the Closing Date, signed by Seller, as to the matters set forth in Sections 9.1, 9.2 and 9.3, and (ii) a favorable certificate from KR, dated the Closing Date, signed by KR, as to the matters set forth in Sections 9.1 and 9.2.
