Upfront and Other Fees. (a) On the date of execution of this Agreement, Borrower shall pay to the Administrative Agent, for the account of each Lender, upfront fees in an amount equal to (i) that Lender's allocated Pro Rata Share of the Commitments times (ii) a fee percentage based upon the amount of the offered commitments of that Lender to the credit facilities described herein, as set forth in a letter agreement of even date herewith among Borrower, the Co-Lead Arrangers and Bank of America. Such upfront fees are for the credit facilities committed by each Lender under this Agreement and are fully earned when paid. The upfront fees paid to each Lender are solely for its own account and are nonrefundable.

  • Administrative Agent’s and Other Fees In order to compensate the Administrative Agent for its obligations hereunder, the Borrower agrees to pay to the Administrative Agent, for its account, the fees set forth in the separate fee letter agreement executed by the Borrower and the Administrative Agent dated April 26, 2005.
