Use of Controlled Substance Permits. To the extent permitted by applicable law, Buyer shall have the right, for a period not to exceed one hundred eighty (180) days following the Closing Date, to operate under the licenses and registrations of Sellers relating to controlled substances and the operations of pharmacies, until Buyer is able to obtain such licenses and registrations for themselves. In furtherance thereof, each Seller holding such licenses or registrations shall execute and deliver to Buyer at or prior to the Closing one or more limited powers of attorney substantially in the form attached hereto as Exhibit A.

Use of Controlled Substance Permits. To the extent permitted by applicable law, Purchaser shall have the right, for a period not to exceed one hundred twenty (120) days following the Closing Date, to operate under the licenses and registrations of Sellers relating to controlled substances and the operations of pharmacies and laboratories, until Purchaser is able to obtain such licenses and registrations for itself. Sellers shall not be obligated to renew any such license which expires during such period. In furtherance thereof, Sellers shall execute and deliver to Purchaser at or prior to the Closing, a Limited Power of Attorney substantially in a form mutually acceptable to the Parties attached hereto as Exhibit E. Purchaser shall promptly apply for such licenses and registrations in its own name as soon as reasonably possible after the date of this Agreement and shall diligently pursue such applications.

Use of Controlled Substance Permits. To the extent permitted by applicable law, each applicable Buyer Entity shall have the right, for a period not to exceed one hundred eighty (180) days following the Closing Date, to operate under the licenses and registrations of the corresponding Seller Entities (and the Partial Subsidiary, if applicable) relating to controlled substances and the operations of pharmacies and laboratories, until such Buyer Entity is able to obtain such licenses and registrations for itself. In furtherance thereof, the Seller Entities (and the Partial Subsidiary, if applicable) shall execute and deliver to the corresponding Buyer Entities at or prior to the Closing limited powers of attorney substantially in the form of Exhibit C hereto. Buyer shall cause the Buyer Entities to apply for all such licenses and permits as soon as reasonably possible before and after the Closing and shall diligently pursue such applications.
Use of Controlled Substance Permits. To the extent permitted by applicable Legal Requirements, Buyer shall have the right, for a period not to exceed 120 days following the Closing Date, to operate the Hospital Businesses under the licenses and registrations of Seller and its Wholly Owned Subsidiaries relating to controlled substances and the operations of pharmacies and laboratories, until Buyer is able to obtain such licenses and registrations for the Hospital Businesses. In furtherance thereof, Seller shall execute and deliver to Buyer at or prior to the Closing limited powers of attorney (on behalf of itself and its Wholly Owned Subsidiaries, as applicable) substantially in the form of Exhibit B hereto. Buyer or its Affiliates shall apply for all such licenses and registrations as soon as reasonably practicable before and after the Closing Date and shall diligently pursue such applications. Buyer shall indemnify and hold harmless Seller and its Wholly Owned Subsidiaries, and their officers, trustees and employees for all claims, liabilities and costs arising from or relating to use of such licenses and registration after the Closing Date.

Seller shall execute and deliver to Buyer the special limited powers of attorney substantially in the form and substance of EXHIBIT "14.15" Buyer acknowledges that it shall apply for all such permits as soon as reasonably possible before and after the Closing Date and shall diligently pursue such applications. Buyer shall indemnify and hold Seller harmless from and against all Losses actually incurred, paid or required under penalty of Law to be paid by Seller resulting in whole or in part from the use of such permits by Buyer. Buyer's indemnification application hereunder is separate and apart from, and in addition to, its indemnification obligations under Paragraph 16.2, which shall be subject to and governed by the provisions of Paragraph 16.3.

GRMC and GHS shall execute and deliver to Buyer the special limited powers of attorney substantially in the form and substance of Exhibit G. Buyer acknowledges that it shall apply for all such permits as soon as reasonably possible before and after the Closing and shall diligently pursue such applications. Buyer shall indemnify and hold Sellers harmless from and against all Losses actually incurred, paid or required under penalty of any Legal Requirement to be paid by Sellers resulting in whole or in part from the use of such Licenses by Buyer. Buyer's indemnification obligation hereunder is separate and apart from, and in addition to, its indemnification obligations under Article 8.

Buyer acknowledges that it shall apply for all such Permits as soon as reasonably practicable before and after the Closing Date and shall diligently pursue such applications. Buyer shall indemnify and hold Seller harmless from and against all losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, actually incurred, paid or required under penalty of Law to be paid by Seller resulting in whole or in part from the use of such Permits by Buyer.
