Common use of User Submissions Clause in Contracts

User Submissions. This Agreement does not obligate You to provide EdiFabric with materials, information, comments, suggestions, or other communications regarding the Materials. However, You agree that any material, information, comments, suggestions, or other communications You transmit or post to an EdiFabric website (including but not limited to, submissions to the Priority Support and/or other customer support websites or online portals) or provide to EdiFabric under this Agreement are not controlled by the International Traffic in Arms Regulations (ITAR) or the Export Administration Regulation (EAR), and if related to the features, functions, performance, or use of the Materials are deemed non-confidential and non-proprietary ("Communications"). EdiFabric will have no obligations with respect to the Communications. You hereby grant to EdiFabric a non-exclusive, perpetual, irrevocable, royalty-free, copyright license to copy, modify, create Derivative Works, publicly display, disclose, distribute, license, and sublicense through multiple tiers of distribution and licensees, incorporate, and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein, including Derivative Works thereto, for any and all commercial or non-commercial purposes. You are prohibited from posting or transmitting to or from an EdiFabric website or providing to EdiFabric any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law. If You wish to provide EdiFabric with information that You intend to be treated as confidential information, EdiFabric requires that such confidential information be provided pursuant to a non-disclosure agreement (“NDA”); please contact Your EdiFabric representative to ensure the proper NDA is in place. Nothing in this Agreement will be construed as preventing EdiFabric from reviewing Your Communications and errors or defects in EdiFabric products discovered while reviewing Your Communications. Furthermore, nothing in this Agreement will be construed as preventing EdiFabric from implementing independently-developed enhancements to EdiFabric’s own error diagnosis methodology to detect errors or defects in EdiFabric products discovered while reviewing Your Communications or to implement bug fixes or enhancements in EdiFabric products. The foregoing may include the right to include Your Communications in regression test suites.

User Submissions. This Agreement does Any information submitted through the Application, including through goals, challenges, trackers, trophy case, coaching, community, social media connectivity, and activity device monitor connectivity may be provided to our staff and may be viewable to other Application users. Optum is not obligate You responsible for the content of any communication submitted or posted by Application users nor do we guarantee the truthfulness, accuracy or validity of any posted communication. Any action you take or do not take based upon information posted to provide EdiFabric with materialsthe Application, informationincluding, comments, suggestions, or other communications regarding the Materials. However, You agree that any material, information, comments, suggestions, or other communications You transmit or post to an EdiFabric website (including but not limited to, medical, investment, trading, employment or other decisions, is done at your own risk. By submitting communications or content to any part of this Application that is viewable by other Application users, you acknowledge that the submission may be viewed and further disclosed by other Application users. We encourage you to not include personally identifiable information in such submissions and cannot be held liable for the further disclosure of your personally identifiable information by other Application users. You acknowledge that Optum only acts as a passive conduit for the distribution of content and other material posted by Application users and is not responsible or liable to you or any third party for the Priority Support and/or content or accuracy of those materials. We, however, reserve the right, but assume no obligation, to monitor any submissions or postings and delete, move or edit any content that we consider inappropriate or unacceptable for any reason. You shall not submit any communication or content that infringes or violates any right of any party or that is not original to you. Where we do moderate interactive features, we will endeavor to review comments and postings for relevance, topicality and appropriateness, and we may withhold or remove postings for any reason, within our sole discretion. We are unlikely to post comments relating to ongoing legal matters or regulatory issues. We reserve the right to republish and use any material contributed by Application users as permitted by these Terms or otherwise by law. By posting a message, content or other customer support websites material in any public area of the Application or online portals) submitting any correspondence to us, you expressly grant us, and anyone authorized by us, a global, royalty- free, perpetual, irrevocable, unrestricted, nonexclusive license to publish, reproduce, sell, disclose, modify, create derivative works from, distribute, publicly perform or provide to EdiFabric under this Agreement are not controlled by the International Traffic display, or otherwise use such material, in Arms Regulations whole or in part, in any manner or medium (ITAR) whether now known or the Export Administration Regulation (EARhereafter developed), for any purpose whatsoever. You hereby further grant us, and if related anyone authorized by us, the global, royalty-free, perpetual, irrevocable, unrestricted, nonexclusive right to the featuresuse any ideas, functionsconcepts or techniques, performancein whole or in part, in any manner or use of the Materials are medium (whether now known or hereafter developed), embodied in such materials for any purpose whatsoever. In addition, you hereby waive any and all moral rights you may have in any such materials. You also agree that all such material will be deemed to be provided to us on a non-confidential and non-proprietary ("Communications")basis. EdiFabric will have no obligations with respect to Material that is copyright protected may not be submitted without permission from the Communications. You hereby grant to EdiFabric a non-exclusive, perpetual, irrevocable, royalty-free, copyright license to copy, modify, create Derivative Works, publicly display, disclose, distribute, licenseowner, and sublicense through multiple tiers of distribution and licenseesyou are solely responsible for the failure to obtain any such permission. We will comply with any legal requests to disclose any submissions, incorporate, and otherwise use the Communications and all data, images, sounds, text, and other things embodied thereincommunications or postings to others, including Derivative Works thereto, for any and all commercial or non-commercial purposes. You are prohibited from posting or transmitting to or from an EdiFabric website or providing to EdiFabric any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law. If You wish to provide EdiFabric with information that You intend to be treated as confidential information, EdiFabric requires that such confidential information be provided pursuant to a non-disclosure agreement (“NDA”); please contact Your EdiFabric representative to ensure the proper NDA is in place. EdiFabric ViCue will have no obligations with respect to the Communications. You hereby grant to EdiFabric ViCue a non-exclusive, perpetual, irrevocable, royalty-free, copyright license to copy, modify, create Derivative Worksderivative works, publicly display, disclose, distribute, license, license and sublicense through multiple tiers of distribution and licensees, incorporate, incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein, including Derivative Works derivative works thereto, for any and all commercial or non-commercial purposes. EdiFabric Intel will have no obligations with respect to the Communications. You hereby grant to EdiFabric Intel a non-exclusive, perpetual, irrevocable, royalty-royalty- free, copyright license to copy, modify, create Derivative Works, publicly display, disclose, distribute, license, license and sublicense through multiple tiers of distribution and licensees, incorporate, incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein, including Derivative Works thereto, for any and all commercial or non-commercial purposes.
