Common use of User Submissions Clause in Contracts

User Submissions. This Agreement does not obligate You to provide Intel with materials, information, comments, suggestions or other communication regarding the Materials. However, You agree that any material, information, comments, suggestions or other communication You transmit or post to an Intel website (including but not limited to, submissions to the Intel Premier Support and/or other customer support websites or online portals) or provide to Intel under this Agreement related to the features, functions, performance or use of the Materials are deemed non-confidential and non- proprietary ("Communications"). Intel will have no obligations with respect to the Communications. You hereby grant to Intel a non-exclusive, perpetual, irrevocable, royalty-free, copyright license to copy, modify, create derivative works, publicly display, disclose, distribute, license and sublicense through multiple tiers of distribution and licensees, incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein, including derivative works thereto, for any and all commercial or non-commercial purposes. You are prohibited from posting or transmitting to or from an Intel website or provide to Intel any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law. If You wish to provide Intel with information that You intend to be treated as confidential information, Intel requires that such confidential information be provided pursuant to a non-disclosure agreement (“NDA”), so please contact Your Intel representative to ensure the proper NDA is in place. Nothing in this Agreement will be construed as preventing Intel from reviewing Your Communications and errors or defects in Intel products discovered while reviewing Your Communications. Furthermore, nothing in this Agreement will be construed as preventing Intel from implementing independently- developed enhancements to Intel’s own error diagnosis methodology to detect errors or defects in Intel products discovered while reviewing Your Communications or to implement bug fixes or enhancements in Intel products. The foregoing may include the right to include Your Communications in regression test suites.

User Submissions. This Agreement does Any information submitted through the Application, including through goals, challenges, trackers, trophy case, coaching, community, social media connectivity, and activity device monitor connectivity may be provided to our staff and may be viewable to other Application users. Optum is not obligate You responsible for the content of any communication submitted or posted by Application users nor do we guarantee the truthfulness, accuracy or validity of any posted communication. Any action you take or do not take based upon information posted to provide Intel with materialsthe Application, informationincluding, comments, suggestions or other communication regarding the Materials. However, You agree that any material, information, comments, suggestions or other communication You transmit or post to an Intel website (including but not limited to, medical, investment, trading, employment or other decisions, is done at your own risk. By submitting communications or content to any part of this Application that is viewable by other Application users, you acknowledge that the submission may be viewed and further disclosed by other Application users. We encourage you to not include personally identifiable information in such submissions and cannot be held liable for the further disclosure of your personally identifiable information by other Application users. You acknowledge that Optum only acts as a passive conduit for the distribution of content and other material posted by Application users and is not responsible or liable to you or any third party for the Intel Premier Support and/or other customer support websites content or online portals) accuracy of those materials. We, however, reserve the right, but assume no obligation, to monitor any submissions or provide postings and delete, move or edit any content that we consider inappropriate or unacceptable for any reason. You shall not submit any communication or content that infringes or violates any right of any party or that is not original to Intel under this Agreement related to the you. Where we do moderate interactive features, functionswe will endeavor to review comments and postings for relevance, performance topicality and appropriateness, and we may withhold or remove postings for any reason, within our sole discretion. We are unlikely to post comments relating to ongoing legal matters or regulatory issues. We reserve the right to republish and use any material contributed by Application users as permitted by these Terms or otherwise by law. By posting a message, content or other material in any public area of the Materials are deemed non-confidential Application or submitting any correspondence to us, you expressly grant us, and non- proprietary ("Communications"). Intel will have no obligations with respect to the Communications. You hereby grant to Intel anyone authorized by us, a non-exclusiveglobal, royalty- free, perpetual, irrevocable, royalty-freeunrestricted, copyright nonexclusive license to copypublish, reproduce, sell, disclose, modify, create derivative works, publicly display, discloseworks from, distribute, license and sublicense through multiple tiers of distribution and licenseespublicly perform or display, incorporate and or otherwise use the Communications and all datasuch material, imagesin whole or in part, sounds, text, and other things embodied therein, including derivative works theretoin any manner or medium (whether now known or hereafter developed), for any purpose whatsoever. You hereby further grant us, and anyone authorized by us, the global, royalty-free, perpetual, irrevocable, unrestricted, nonexclusive right to use any ideas, concepts or techniques, in whole or in part, in any manner or medium (whether now known or hereafter developed), embodied in such materials for any purpose whatsoever. In addition, you hereby waive any and all commercial or non-commercial purposesmoral rights you may have in any such materials. You are prohibited from posting or transmitting to or from an Intel website or provide to Intel any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other also agree that all such material that would violate any law. Material that is copyright protected may not be submitted without permission from the copyright owner, so please contact Your Intel representative and you are solely responsible for the failure to ensure the proper NDA is in placeobtain any such permission. Nothing in this Agreement We will be construed as preventing Intel from reviewing Your Communications and errors comply with any legal requests to disclose any submissions, communications or defects in Intel products discovered while reviewing Your Communications. Furthermorepostings to others, nothing in this Agreement will be construed as preventing Intel from implementing independently- developed enhancements including to Intel’s own error diagnosis methodology to detect errors or defects in Intel products discovered while reviewing Your Communications or to implement bug fixes or enhancements in Intel products. Intel ViCue will have no obligations with respect to the Communications.
