Vacation and Sick Leave. The EMPLOYEE shall be entitled, without loss of pay, to be absent voluntarily from the performance of his duties under this AGREEMENT, subject to the following conditions: (i) The EMPLOYEE shall be entitled to an annual vacation in accordance with the policies periodically established by the Boards of Directors of the EMPLOYERS for senior management officials of the EMPLOYERS, the duration of which shall not be less than four weeks each calendar year; (ii) Vacation time shall be scheduled by the EMPLOYEE in a reasonable manner and shall be subject to approval by the Boards of Directors of the EMPLOYERS. The EMPLOYEE shall not be entitled to receive any additional compensation from the EMPLOYERS in the event of his failure to take the full allotment of vacation time in any calendar year; provided, however, that a maximum of one week of unused vacation time in any calendar year may be carried over into any succeeding calendar year; and (iii) The EMPLOYEE shall be entitled to annual sick leave as established by the Boards of Directors of the EMPLOYERS for senior management officials of the EMPLOYERS. Further, the Board of Directors shall be entitled to grant to the Employee a leave or leaves of absence with or without pay at such time or times and upon such terms and conditions as the Board of Directors in its discretion may determine.
(d) In addition, the Employee shall be entitled to an annual sick leave benefit as established by the Boards Board of Directors of the EMPLOYERS for senior management officials employees of the EMPLOYERSBank. In the event that any sick leave time benefit shall not have been used during any calendar year, such leave shall accrue to subsequent calendar years, years only to the extent authorized by the Boards Board of Directors for employees of the EMPLOYERS.
