Common use of Vacation Pay and Personal Holidays Clause in Contracts

Vacation Pay and Personal Holidays. Parent will continue, and cause its Affiliates to continue, to credit to each Company Employee all vacation and personal holiday pay that the Company Employee is entitled to use but has not used as of the Closing Date (including any earned vacation or personal holiday pay to be used in future years) subject to Parent’s vacation day carryover policy.

Vacation Pay and Personal Holidays. From and after the Effective Time, Parent will continuewill, and will cause its Affiliates to continueto, continue to credit to each Company Employee all vacation and personal holiday pay that the such Company Employee is entitled to use but has not used as of the Closing Date (including any earned vacation or personal holiday pay to be used in future years) subject to Parent’s vacation day carryover policy, beginning with the year following the year in which the Effective Time occurs.

Vacation Pay and Personal Holidays. Parent will continue, shall cause the Company and cause its Affiliates Subsidiaries to continue, continue to credit to each Company Retained Employee all vacation and personal holiday pay that the Company Retained Employee is entitled to use but has not used as of the Closing Date (including any earned that is either treated as Indebtedness or accrued in Working Capital; provided, however, that Parent is not required to continue the vacation or and personal holiday pay plans of the Company or its Subsidiaries that are in effect immediately prior to be used in future years) subject the Closing Date, unless required to Parent’s vacation day carryover policydo so by applicable Law.
