Venue and Personal Jurisdiction. Any suit or other proceeding not subject to arbitration under Section 12 will be brought solely in the federal courts in the Central District of California, if jurisdiction in such court can be obtained, and otherwise in the state courts of California, and each party hereby irrevocably submits to, and waives any objections to, the exercise of personal jurisdiction thereof and venue therein.
Venue and Personal Jurisdiction. Subject to Section 15(d), the parties unconditionally and irrevocably consent to the exclusive jurisdiction and venue of state courts located in: (x) the State of New York; (y) the State of Merchant’s incorporation or formation or where its operations, offices, assets or domicile are located, or (z) the State where any Guarantor resides. In the event of a judicial action brought by Purchaser under this Agreement, Merchant and each Guarantor hereby unconditionally and irrevocably waive any and all claims and objections to jurisdiction and/or venue as per this provision.
Venue and Personal Jurisdiction. (a) Each party to this Lease hereby submits to the jurisdiction of the State of Louisiana and the courts thereof and to the jurisdiction of the Civil District Court for the Parish of Orleans, State of Louisiana for the purposes of any suit, action or other proceeding arising out of or relating to this Lease, and hereby agrees not to assert by way of a motion as a defense or otherwise that such action is brought in an inconvenient forum or that the venue of such action is improper or that the subject matter thereof may not be enforced in or by such courts.
(b) If at any time during the Term, Tenant is not a resident of the State of Louisiana or has no officer, director, employee, or agent thereof available for service of process as a resident of the State of Louisiana, or if any permitted assignee thereof shall be a foreign corporation, partnership or other entity or shall have no officer, director, employee, or agent available for service of process in the State of Louisiana, Tenant or its assignee hereby designates the Secretary of State, State of Louisiana, its agent for the service of process in any court action between it and Landlord or arising out of or relating to this Agreement and such service shall be made as provided by the laws of the State of Louisiana for service upon a nonresident; provided, however, that at the time of service on the Secretary of State, a copy of such service shall be delivered to Tenant in the manner provided in Section 32.6 of this Lease.
Venue and Personal Jurisdiction. Each party agrees that if any action is taken enforce this agreement through the courts that venue shall be proper, and each party submits to jurisdiction, in Xxxxx County Oklahoma.
Venue and Personal Jurisdiction. The parties acknowledge the Mutual Agreement to Arbitrate Claims entered into by the parties and the fact that the Mutual Agreement to Arbitrate Claims excludes claims for temporary equitable relief in aid of arbitration (“Temporary Injunction Proceedings”). To the maximum extent permitted by law, the parties expressly agree to submit to the exclusive jurisdiction and exclusive venue of courts located in the State of Washington, King County, for Temporary Injunction Proceedings, regardless of where I reside or where I perform services for the Company. I waive any right to have any Temporary Injunction Proceedings decided in any other jurisdiction or venue.
Venue and Personal Jurisdiction. In the event action is brought on this Agreement, it is agreed that venue of such action may lie in Los Angeles County, California, and each party hereby consents to jurisdiction over their person by the District Court thereof.
Venue and Personal Jurisdiction. The parties hereby consent to venue and personal jurisdiction in the Dane County Circuit Court. If the Dane County Circuit Court cannot adjudicate an action because it lacks subject matter jurisdiction, the parties alternatively consent to venue and personal jurisdiction in the federal district court for the Western District of Wisconsin.
Venue and Personal Jurisdiction. The parties hereby irrevocably submit to the exclusive personal jurisdiction of the Court of Chancery of the State of Delaware or, to the extent such Court declines to accept jurisdiction over a particular matter, any Federal court of the United States of America located in the State of Delaware solely in respect of the interpretation and enforcement of the provisions of this Agreement and in respect of the transactions contemplated hereby and thereby, and hereby waive, and agree not to assert, as a defense in any action, suit or proceeding for the interpretation or enforcement hereof or of any such document, that it is not subject thereto or that such action, suit or proceeding may not be brought or is not maintainable in such courts or that such courts are an inconvenient forum, or that the venue of such courts may not be appropriate or that this Agreement may not be enforced in or by such courts, and the parties hereto irrevocably agree that all claims with respect to such action, suit or proceeding shall be heard and determined in such a Delaware Court of Chancery or Federal court. The parties hereby consent to and grant any such court jurisdiction over the person of such parties and, to the extent permitted by law, over the subject matter of such dispute and agree that mailing of process or other papers in connection with any such action or proceeding in the manner provided in Section 6.12 shall be valid, effective and sufficient service thereof.
Venue and Personal Jurisdiction. Any litigation arising from or related to this Agreement will be brought exclusively in the state or federal courts located in Nevada County, CA, and the Parties hereby consent to the personal jurisdiction of these such courts for such all purposes. The Parties also consent to the service of process by mail outside the State of California in accordance with California law.
Venue and Personal Jurisdiction. This agreement shall be construed and enforced in accordance with and governed by the laws of the State of California as of the date hereof. If the address of Debtor's residence or principal place of business shown herein is not in the State of California, Debtor consents to the exercise of personal jurisdiction over Debtor by any court or record sitting in the State of California in connection with any action arising out of this Agreement, and waives all objections to service of process on Debtor at such address. Waiver of Jury Trial. Secured Party and Debtor each waive trial by jury in any action, proceeding or counterclaim brought by either of the parties against the other on any matter whatsoever arising out of or in any way connected with this Agreement.
