Venue Restrictions. Various venue restrictions may exist for Catering Services, such as limitations on where food or drinks may be allowed, additional insurance requirements, clean-up expectations, and/or employee background screening. Venue Restrictions. 5.1 Absolutely no changes, additions or alternations in or to the Venue or Premises and or the fixtures, fittings or other contents thereof may be made except as have been agreed in advance in writing by RA Arts, all of which in any event must be of a temporary nature only and strictly necessary for the purposes of the Event. Except in the case of permitted equipment set out in the Booking Confirmation, no equipment or structures of any kind may be erected in, on or attached to any part of the Venue without the express written permission of RA Arts.

Venue Restrictions. Each participant in the Classes taught by you (including Clients trained by you in Private Classes) shall be required by you, prior to participation in the Classes, to sign a standard waiver, indemnification and release of liability covering (amongst others) Pound, and its members, managers, owners, officers, employees, contractors agents and affiliates as indemnitees. No person shall be allowed to participate in a Authorized Workout taught or led by you without signing the waiver contemplated in this Section 3.1. If you are teaching Classes at a Pound Venue, you agree to verify that each participant has executed, or the Pound Venue has obtained, the foregoing waiver. At no time during the Term, shall you offer, or permit any other person to offer during the Classes or Authorized Workouts, any competing or substantially similar workouts that combine the use of music and weighted drumsticks, or a similar workout tool.

  • Use Restrictions (a) Company will not do or attempt to do, and Company will not permit any other person or entity to do or attempt to do, any of the following, directly or indirectly:

  • Usage Restrictions You will not (a) make any Service or Content available to, or use any Service or Content for the benefit of, anyone other than You or Users, (b) sell, resell, license, sublicense, distribute, rent or lease any Service or Content, or include any Service or Content in a service bureau or outsourcing offering, (c) use a Service to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights, (d) use a Service to store or transmit Malicious Code, (e) interfere with or disrupt the integrity or performance of any Service or third-party data contained therein, (f) attempt to gain unauthorized access to any Service or Content or its related systems or networks, (g) permit direct or indirect access to or use of any Service or Content in a way that circumvents a contractual usage limit, (h) copy a Service or any part, feature, function or user interface thereof, (i) copy Content except as permitted herein or in an Order Form or the Documentation, (j) frame or mirror any part of any Service or Content, other than framing on Your own intranets or otherwise for Your own internal business purposes or as permitted in the Documentation, (k) access any Service or Content in order to build a competitive product or service, or (l) reverse engineer any Service (to the extent such restriction is permitted by law).

  • Age Restrictions Drivers must be 21 years of age or over.

  • Trade Restrictions (i) Supplier Covenants that it shall not sell, distribute, disclose, release, receive or otherwise transfer any item or technical data provided under this Order to or from: (A) any country designated as a “State Sponsor of Terrorism” or “SST” by the U.S. Department of State, (B) any entity located in, or owned by an entity located in a SST country, or (C) any person or entity listed on the “Specifically Designated Nationals and Blocked Persons” list maintained by the U.S. Department of Treasury. This clause shall apply regardless of the legality of such a transaction under local law.

  • Use Restriction (a) If a natural disaster, incident or any other emergency situation occurs or is likely to occur, SORACOM may restrict the use of the SORACOM Air Global Service by the Subscriber in order to give priority to communications whose content are necessary for the prevention of or relief from calamities, for the securing of transportation, communications or electric power supply, the maintenance of public order or any other public interest.

On and after 180 days after the Effective Date, transfers to others may be made subject to compliance with or exemptions from applicable securities laws. In order to make any permitted assignment, the Holder must deliver to the Company the assignment form attached hereto duly executed and completed, together with the Purchase Warrant and payment of all transfer taxes, if any, payable in connection therewith. The Company shall within five (5) Business Days transfer this Purchase Warrant on the books of the Company and shall execute and deliver a new Purchase Warrant or Purchase Warrants of like tenor to the appropriate assignee(s) expressly evidencing the right to purchase the aggregate number of Shares purchasable hereunder or such portion of such number as shall be contemplated by any such assignment.
