Stock Restrictions definition

Stock Restrictions means the securities Laws restrictions, and the transfer restrictions and obligations, voting proxy, right of first refusal and repurchase option under Articles V, VI and VII.
Stock Restrictions means any transfer restriction or limitation applicable to any Loan Party or any Subsidiary of a Loan Party, including such restriction or limitation under a right of first refusal agreement, co-sale agreement, call agreement and the like.
Stock Restrictions means the restrictions on the ability of a Participant to transfer Restricted Shares issued to such Participant hereunder referred to in Sections 10(a) and 10(b) and embodied in a Restricted Stock Agreement between the Company and such Participant.

  • If there is an Award Termination, the Committee may in its discretion allow the Stock Restrictions to lapse on some or all of the Performance Restricted Stock, calculated as set forth in subsection (c) or in such other manner as the Committee directs.
