Vice Presidents and Other Officers. The Chief Executive Officer may appoint or promote one or more Vice Presidents and such other officers and agents of the Company as the Chief Executive Officer shall deem necessary or appropriate to carry out the business of the Company upon such terms and conditions as the Chief Executive Officer may determine, subject to the approval of the Majority-In-Interest of the Members. Any such officer shall hold his or her respective office for the term specified by the Chief Executive Officer unless earlier removed by the Majority-In-Interest of the Members. Pursuant to guidelines and policies approved by the Board, subject to Section 7.4(f), such Vice Presidents and other officers and agents of the Company may execute agreements and contracts on behalf of the Company if such authority is approved by the Majority-In-Interest of the Members. All officers with signing authority for Exchange or Holdings may also execute agreements and contracts on behalf of the Company.

Vice Presidents and Other Officers. The several Vice Presidents and other elected officers, including, without limitation, the General Counsel, shall perform all such duties and services as shall be assigned to or required of them, from time to time, by the Board, or the Chief Executive Officer, respectively. In the event of the absence or disability of both the Chairman and the Chief Executive Officer, the President may designate one of the several Vice Presidents to act in his or her place with authority to exercise all of his or her powers and perform his or her duties, provided that the Board may change such designation, or if the President fails or is unable to make such designation, the Board may make such designation at a regular or special meeting called for that purpose.

  • Executive and Other Committees The Trustees by vote of a majority of all the Trustees may elect from their own number an Executive Committee to consist of not less than two members to hold office at the pleasure of the Trustees, which shall have the power to conduct the current and ordinary business of the Trust while the Trustees are not in session, including the purchase and sale of securities and the designation of securities to be delivered upon redemption of Shares of the Trust or a Series thereof, and such other powers of the Trustees as the Trustees may delegate to them, from time to time, except those powers which by law, the Declaration of Trust or these By-Laws they are prohibited from delegating. The Trustees may also elect from their own number other Committees from time to time; the number composing such Committees, the powers conferred upon the same (subject to the same limitations as with respect to the Executive Committee) and the term of membership on such Committees to be determined by the Trustees. The Trustees may designate a Chairman of any such Committee. In the absence of such designation the Committee may elect its own Chairman.

  • President and Vice Presidents The president shall be the chief executive officer of the Trust. The president shall, subject to the control of the Trustees, have general charge and supervision of the business of the Trust. Any vice president shall have such duties and powers as shall be designated from time to time by the Trustees.
