Elected Officers that are not Trustee Members or General Members are not entitled to any membership rights.
The Compensation Committee shall have the power and duty to fix the compensation of the Elected Officers (as defined in Section 4.01(a) (i) hereof) and to authorize and approve the making of employment contracts between the corporation and its Elected Officers and shall have such other powers and duties as may be assigned to it by resolution of the board of directors.
Such Elected Officers shall also have such powers and duties as from time to time may be conferred by the Board of Directors.
As used herein, the term “Management Employee Benefit Plan” shall mean any employee benefit plan or arrangement as to which Elected Officers and Operating Committee Members (as those terms are defined in Section 4.01 (a)(i) and (ii)) collectively constitute 15% or more of those eligible to participate in or under such plan or arrangement.
All Elected Officers shall be subject to removal at any time by the affirmative vote of a majority of the whole Board of Directors.
