Voluntary Termination; Termination With Cause. If the Executive shall cease being an employee of the Company on account of the Executive’s Voluntary Termination or a Termination With Cause, the Executive shall have no further rights against the Company hereunder after the Termination Date, except for the right to receive (i) any Base Salary and bonus compensation earned but unpaid as of the Termination Date, and (ii) reimbursement of business expenses to which the Executive is entitled as of the Termination Date pursuant to Section 5. In the event of a Voluntary Termination or a Termination With Cause, the Executive shall continue to be subject to the Confidentiality Agreement and the Non-Compete Agreement.

Voluntary Termination; Termination With Cause. If (i) the Executive shall cease being an employee of the Company on account of a Voluntary Termination or (ii) there shall be a Termination With Cause, the Executive shall not be entitled to any compensation after the effective date of such Voluntary Termination or Termination With Cause (except Base Salary and vacation accrued but unpaid on the effective date of such event). In the event of a Voluntary Termination or Termination With Cause, the Executive shall continue to be subject to the noncompetition covenant contained in Section 11 hereof for the remainder of the Term.

Voluntary Termination; Termination With Cause. In the event the Executive suffers a Voluntary Termination or a Termination With Cause and there has not been a Change in Control, the Executive will not Compete (hereinafter defined) with the Company for a period of time equal to the then remaining Term of this Employment Agreement (as if this Agreement had not been terminated). If the Executive suffers a Voluntary Termination or a Termination With Cause and there has been a Change in Control, the Executive will not Compete with the Company for a period of one (1) year after the date of such termination.
Voluntary Termination; Termination With Cause. In the event of termination pursuant to Section 5.1(c) of this Agreement, the Executive shall be entitled to the Base Salary accrued and unpaid through the Termination Date plus any benefits pursuant to Section 4.3 of this Agreement that shall have accrued through the Termination Date. Except as expressly set forth in this Section 5.2, following the Termination Date, the Executive shall be entitled to no compensation, bonus, benefits, interests, options or other remuneration of any kind whether under this Agreement or otherwise. Nothing in this Agreement is intended to preclude the Executive from the full exercise of any remedies available to him at law or equity to seek enforcement of this Agreement. Notwithstanding any provision contained herein to the contrary, the Company shall be permitted to maintain key man insurance policies regarding the life of the Executive for its own benefit during any period of time, whether during the Term or thereafter.
Voluntary Termination; Termination With Cause. The Executive's employment may be terminated (i) by the Company with Cause or (ii) by the Executive of his own accord, each upon the giving of written notice to the other party, effective as of the date set forth in such notice.
