Waiver or Deferral of Conditions Precedent. 5.3.1 Satisfaction of any of the conditions set out in: 5.3.1.1 clause 5.1 (Initial Conditions Precedent) may be waived or deferred by the Facility Agent acting on the instructions of the Majority Lenders; 5.3.1.2 clause 5.2 (Further Conditions to Utilisation of Facility) may be waived or deferred by the Facility Agent acting on the instructions of the Majority Lenders. 5.3.2 Waiver or deferral of delivery of any of the Financial Close Documents either at all or in a form and in substance satisfactory to the Facility Agent or waiver of any of the further conditions set out in clause 5.2 (Further Conditions to Utilisation of Facility) shall not prejudice the right of the Facility Agent to require subsequent fulfilment of such condition in a written notice to this effect delivered at the time of such waiver or deferral and, unless otherwise specified in any written notice waiving fulfilment of the relevant condition, the relevant condition shall be fulfilled by the Obligors within 5 (five) Business Days of the date of the written notice waiving fulfilment of such condition.

Waiver or Deferral of Conditions Precedent. Each condition precedent referred to in this Clause 4 is for the benefit solely of the Lenders. The Facility Agent (acting on the instructions of all the Lenders) may, by notice to the Borrower, waive or defer delivery of any condition precedent, in whole or in part, and subject to such other conditions (if any) as it may determine.

Waiver or deferral of: 4.3.2.1. the condition of the delivery of any of the CP Documents either at all or in a form and in substance satisfactory to the Facility Agent; or 4.3.2.2. any of the conditions in any Finance Document, shall not prejudice the right of the Facility Agent to require subsequent fulfilment of such condition in a written notice to this effect, delivered at the time of such waiver or deferral (as applicable) and, unless otherwise specified in any written notice waiving or deferring fulfilment of such condition, such condition shall be fulfilled by the Borrower within 10 (ten) Business Days of the date of the written notice waiving or deferring fulfilment of such condition. 4.3.3. The advance of any Loan under any of the Facilities in circumstances where a Lender was not obliged to advance such a Loan because of any condition referred to in or contemplated by Clause 4.1 (Initial Conditions Precedent) or Clause 4.2 (Further Conditions Precedent) not having been satisfied, waived or deferred pursuant to this Clause 4.3 shall constitute a valid advance of such Loan made subject to and in accordance with the provisions of this Agreement and the other relevant Finance Documents.

Waiver or Deferral of Conditions Precedent. 3.4.1 If any of the conditions precedent referred to in clause 3.1, clause 3.2 or clause 3.3 are waived or deferred by the Lessor, the Lessor may attach to such waiver or deferral such requirements and further or other conditions as it thinks fit, and PPC shall fulfil, or procure fulfilment of, all such requirements or further or other conditions as may be notified by the Lessor to PPC, in accordance with the terms of such notification. 3.4.2 If the Lessor agrees to deliver the Haewene Brim Equipment (or any part thereof) to PPC on terms (express or otherwise) that any condition may be fulfilled after the Delivery Date, PPC shall (unless the Lessor shall have expressly otherwise agreed in writing) procure that such condition is fulfilled within such period after the Delivery Date as the Lessor may stipulate, and the Lessor shall be entitled to treat any failure by PPC so to procure as an immediate Termination Event.

The Lender may by notice to the Borrower, waive or defer delivery of any condition precedent, in whole or in part, and subject to such other conditions (if any) as it may in its sole and absolute discretion determine.

Waiver or Deferral of Conditions Precedent. (a) The conditions precedent referred to in Clauses 7.1 (Documentary conditions precedent), 7.2 (General conditions precedent) and 7.3 (Conditions precedent to leasing of Equipment) are inserted for the sole benefit of the Lessor and may be waived or deferred in whole or in part subject to such conditions as the Lessor may notify to the Lessee. (b) The Lessee will, to the extent that it is capable of so doing, use its commercially reasonable endeavours to fulfil, or ensure fulfilment of, such conditions within the time specified.
