WAIVER OR MODIFICATION INEFFECTIVE UNLESS IN WRITING. No waiver or modification of this agreement or of any covenant, condition, or limitation herein contained shall be valid unless in writing and duly executed by the party to be charged therewith. Furthermore, no evidence of any waiver or modification shall be offered or received in evidence in any proceeding, arbitration, or litigation between the parties arising out of or affecting this agreement, or the rights or obligations of any party hereunder, unless such waiver or modification is in writing, duly executed as aforesaid. The provisions of this paragraph may not be waived except as herein set forth.

It is further agreed that no waiver or modification of this Non-Competition Agreement or of any covenant, condition, or limitation herein contained shall be valid unless in writing and duly executed by the party to be charged therewith and that no evidence of any waiver or modification shall be offered or received in evidence in any proceeding or litigation between the parties hereto arising out of or affecting this Non-Competition Agreement, or the rights or obligations of any party hereunder, unless such waiver or modification is in writing, duly executed as aforesaid.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN THE EVENT THAT THIS AGREEMENT IS RENEWED AS PROVIDED HEREIN, THE APPROVAL OF A NEW RATE OF COMPENSATION OTHER BENEFITS FOR XXXXXXXXXX AS ESTABLISHED BY THE BOARD OF DIRECTORS OF THE BANK SHALL BE CONSIDERED TO BE AN AMENDMENT TO THIS AGREEMENT, BUT THAT ALL OTHER TERMS AND PROVISIONS OF THIS AGREEMENT SHALL GOVERN IN ALL RESPECTS IN SUBSEQUENT YEARS. __________DMF __________JVW

Nothing contained herein shall be construed as a waiver of any of the legal or equitable rights of Cardservice, all of which are hereby expressly reserved. The waiver by a party of any term, covenant, condition or obligation contained in this Agreement or of any breach thereof, shall not be deemed a waiver of any other term, covenant, condition or obligation, or any future breach thereof or default there under, contained in this Agreement. No single or partial exercise of any right under or with respect to this Agreement shall preclude its further exercise. Any delay or omission by a party to exercise any right or power arising from any breach or default of the other party with respect to any of the terms, provisions or covenants contained in this Agreement shall not be construed to be a waiver, including any subsequent breach or default of the same or other terms, provisions or covenants contained in this Agreement.
