Common use of Waivers / Overdrafts Clause in Contracts

Waivers / Overdrafts. Any waiver by the Bank must be in writing to be effective. The Bank’s waiver of any right will not be deemed a waiver of other rights or of the same right at another time. The Bank’s practice of allowing overdrafts will not obligate the Bank to continue the practice at a later date. The Bank may discontinue permitting overdrafts at any time and without prior notice. A waiver by the Bank or Customer of any term or provision shall not be construed as a waiver of such term or provision at any other time, or of any term or provision. Any waiver (express or implied) by either party of any default or breach of this Agreement must be in writing and shall not constitute a waiver of any other or subsequent default or breach. No course of dealing between the Bank and Customer will constitute a modification of this Agreement, including but not limited to the security procedures set forth herein, or constitute an agreement between the Bank and Customer regardless of whatever practices and procedures the Bank and Customer may use.
