Western Canada. Marine Response shall indemnify, defend and hold harmless Owner, its directors, officers, employees and agents from and against all claims, losses, damages, costs, expenses and other liabilities incurred by Owner and its directors, officers, employees and agents as a result of the negligence of Western Canada Marine Response, its directors, officers, agents, contractors or employees in carrying out the Initial Response or any Work Order.

Western Canada. Marine Response shall have the right without obtaining the consent of Owner to subcontract all or any portion of the Marine Spill Response Services to be provided under this Agreement.

Western Canada. Marine Response and Owner recognize and agree that, in connection with providing the Marine Spill Response Services under this Agreement: (a) any Marine Spill Response Services provided under this Agreement are for the sole benefit of Owner; (b) the extraordinary and emergency nature of the Marine Spill Response Services may require actions by Western Canada Marine Response that may give rise to a variety of claims; (c) Western Canada Marine Response has based the charges for and availability of the Marine Spill Response Services to be provided under this Agreement on the premise that Owner, or anyone asserting rights on its behalf, will not challenge Western Canada Marine Response’s right to be indemnified as provided in this Article 18. Accordingly, Western Canada Marine Response and Owner fully understand and recognize and agree that the nature of the Marine Spill Response Services to be provided under the terms set forth in this Agreement make it appropriate, equitable and essential to provide for the allocation of the risks and liabilities, limitation of remedies, and the indemnification of Western Canada Marine Response and Owner as set forth in this Article 18.
Western Canada. Marine Response, its directors, officers, agents, contractors and employees shall have no liability to Owner, for: (a) any loss or damage caused to any person, property or the environment, of any nature or kind; or (b) any liability arising as the result of the breach of any statute, regulation, rule, court order or other governmental or administrative decree having the force of law, caused by any act or omission of Owner or any of its directors, officers, contractors, agents or employees.

Marine Response, its directors, officers, agents, contractors and employees shall have no liability to Owner, for: (a) any loss or damage caused to any persons, property or the environment, of any nature or kind; or (b) any liability arising as the result of the breach of any statute, regulation, rule, court order or other governmental or administrative decree having the force of law, caused by the act or omission of Western Canada Marine Response or any of its directors, officers, agents, contractors or employees, in performing Approved Marine Spill Response Services unless such act or omission is a result of the negligence of Western Canada Marine Response or any of its directors, officers, agents, contractors or employees in carrying out the Initial Response or any Work Order, and Western Canada Marine Response, its directors, officers, agents, contractors or employees are unable to rely on their respective immunities under the Act.
Western Canada. We are enthusiastic about the potential for increased sales in Canada using Sourcewell and Canoe due to the increased adoption of cooperative purchasing. We also look forward to better servicing Sourcewell Participating Entities and any entities like Canoe in Canada through the award of this new contract. As with our ability and willingness to provide products in the United States, TYMCO can confidently supply our products to Sourcewell participating entities, Canoe Members and other entities like Canoe in all areas of Canada based primarily on three things: 1. High quality needs-based engineering-driven solutions with a large breadth of products that address airport challenges. 2. A far-reaching dealer network deeply involved at a personal level with customers. 3. A deep desire on XXXXX's part to vigorously promote purchasing our products through Sourcewell to customers who may have purchased through bids previously. * 33 Identify any geographic areas of the United States or Canada that you will NOT be fully serving through the proposed contract. TYMCO will be able to service all areas of the United States and Canada with Sourcewell. * 34 Identify any Sourcewell participating entity sectors (i.e., government, education, not-for- profit) that you will NOT be fully serving through the proposed contract. Explain in detail. For example, does your company have only a regional presence, or do other cooperative purchasing contracts limit your ability to promote another contract? TYMCO will be able to fully service all Sourcewell Member sectors. * 35 Define any specific contract requirements or restrictions that would apply to our participating entities in Hawaii and Alaska and in US Territories. A specific contract requirement that TYMCO has for members in Hawaii, Alaska and U.S. Territories is requesting that the total amount due may be requested to be funded before the unit(s) ship from TYMCO, Inc. in Waco, Texas. *
