Without limiting Purchaser s rights under Section 1(g) above, either Party may terminate this Agreement by giving written notice to the other Party if such other Party is in material breach hereof and shall have failed to cure such breach within fifteen (15) days after receipt of written notice thereof from the non-breaching Party. Any termination of this Agreement pursuant to Sections 4(c)-(f) shall be without prejudice to any rights or obligations of the Parties hereto accruing prior to such termination including the right to payment of unpaid Fees and reimbursable Expenses owing for Transition Services performed prior to termination.
Without limiting Purchaser s rights under ----------------------- Section 2.1 or 2.4 hereof, no Purchaser may participate in any underwritten distribution hereunder unless such Purchaser (a) agrees to sell the Purchaser's Registrable Securities on the basis provided in -------- any underwriting agreements in usual and customary form entered into by the Company pursuant to Section 3.5 hereof, (b) completes and executes all questionnaires, powers of attorney, indemnities, underwriting agreements and other documents reasonably required under the terms of such underwriting arrangements, and (c) agrees to pay its pro rata share of all underwriting discounts and commissions and any expenses in excess of those payable by the Company pursuant to Article V.
