Y2K Plan. The Borrower has developed and has delivered -------- to the Agent and the Banks a comprehensive plan (the "Y2K Plan") for insuring that the Borrower's and its Subsidiaries' software and hardware systems which impact or affect in any way the business operations of the Borrower and its Subsidiaries' will be Year 2000 Compliant and Ready. The Borrower and its Subsidiaries' have met the Y2K Plan milestones such that all hardware and software systems will be Year 2000 Compliant and Ready in accordance with the Y2K Plan.
Y2K Plan. The Borrower will meet the milestones contained in the Y2K Plan in all material respects and will have all hardware and software systems Year 2000 Compliant and Ready (including all internal and external testing) on or before September 30, 1999."
Y2K Plan. By the Closing Date, the Borrower shall have developed and delivered to the Administrative Agent a comprehensive plan (the "Y2K Plan"), including milestones ("Y2K Plan Milestones"), to identify whether its and its Subsidiaries' computer software and hardware systems which materially impact or affect the business operations of the Borrower and such Subsidiaries will be Year 2000 Compliant and Ready.
Y2K Plan. Simultaneously with the delivery of each set of annual and quarterly financial statements referred to in Section 5.1.1 and Section 5.1.2 until such time as Borrower is Year 2000 Compliant and Ready, a statement of the chief executive officer, chief financial officer, or chief technology officer of the Borrower to the effect that nothing has come to his attention to cause him to believe that the Y2K Plan Milestones have not been achieved (or cannot be achieved) in a manner such that the Borrower's and its Subsidiaries' hardware and software systems will not be Year 2000 Compliant and Ready in accordance with the Y2K Plan. In addition, if, prior to the delivery date of any such statements, the Borrower becomes aware of any material deviations from the Y2K Plan or any Y2K Plan Milestones which would be reasonably likely to cause the Borrower and its Subsidiaries not to be Year 2000 Compliant and Ready, a statement of the chief executive officer, chief financial officer, or chief technology officer of Borrower setting forth the details thereof and the action which the Borrower is taking or proposes to take with respect thereto shall be delivered to each of the Banks promptly thereafter.
Y2K Plan. The Borrower has developed and has delivered to the Administrative Agent and the Banks its plan (the "Y2K Plan") for making the Mission Critical Systems and Equipment Year 2000 Compliant and Ready. The Borrower and its Subsidiaries' have met the Y2K Plan milestones such that the Borrower reasonably believes, after due diligence, that all Mission Critical Systems and Equipment will be Year 2000 Compliant and Ready in accordance with the Y2K Plan.
Y2K Plan. The Parent will exercise its best efforts to meet the milestones contained in the Y2K Plan and be Year 2000 Ready on or about June 30, 1999 (but in any event before August 31, 1999).
Y2K Plan. The Borrower will, and will cause each of its Subsidiaries to, meet all Y2K Plan milestones such that all hardware and software systems of the Borrower and its Subsidiaries will be Year 2000 Compliant and Ready in accordance with the Y2K Plan; except to the extent that its failure to do so would not reasonably be expected to have a material adverse effect on the business, operations, assets or financial condition of the Borrower or any of its Subsidiaries.
Y2K Plan. The Borrower has developed and delivered to the Administrative Agent and the Lenders a comprehensive plan (the "Y2K Plan") for insuring that the Borrower's and the Subsidiaries software and hardware systems which impact or affect in any way the business operations of the Borrower and the Subsidiaries will be Year 2000 Compliant and Ready. The Borrower and the Subsidiaries have met the Y2K Plan milestones such that all hardware and software systems will be Year 2000 Compliant and Ready in accordance with the Y2K Plan. Each item of equipment containing embedded microchips (including systems and equipment supplied by others or with which the systems of the Borrower or any of their Subsidiaries interface), and the testing of all such systems and equipment, as so reprogrammed, will be completed by March 31, 1999.
Y2K Plan. The Borrowers have developed and have delivered to the Agent and the Banks a written plan (the "Y2K Plan") for the testing and, if necessary, repair, of all Mission Critical Systems and Equipment in order that they will be Year 2000 Compliant and Ready on or before January 1, 2000. The Borrowers have timely achieved all such tests and repairs as of the dates set forth on the Y2K Plan. AT: 1030545v10
