V., a public limited liability company (naamloze vennootschap) incorporated under the laws of the Netherlands, with its corporate seat (statutaire zetel) in Schiphol, The Netherlands, its registered office at Sxxxxxxx Xxxxxxxxx 000, 0000 XX Xxxxxxxx, Xxx Xxxxxxxxxxx, and registered with the Dutch trade register under number 27265167 (the “Issuer”); and
YANDEX N. V., a public limited liability company incorporated under the laws of the Netherlands (naamloze vennootschap met beperkte aansprakelijkheid), having its official seat (statutaire zetel) in Amsterdam, the Netherlands, and its office at Sxxxxxxx Xxxxxxxxx 000, 0000XX Schiphol, the Netherlands, registered with the Dutch Trade Register of the Cxxxxxxx of Commerce under number 27265167 (“YNV”);
YANDEX N. V., a public company with limited liability (Naamloze Vennootschap) organised and existing under the laws of The Netherlands, registered with the Dutch Trade Register of the Chamber of Commerce under number 27265167, having its registered office at Xxxxxxxx Xxxxxxxxx 000, 0000 XX, Xxxxxxxx, Xxx Xxxxxxxxxxx (the “Buyer”). The Seller 1, the Seller 2, the Guarantors and the Buyer are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties” as the context may admit or require.

V., a public limited liability company (naamloze vennootschap), incorporated under the laws of The Netherlands, having its corporate seat (statutaire zetel) in ‘s-Gravenhage, The Netherlands, and its place of business at Xxxx Xxxxx xxx Cattenburch 52, 2585 GB ‘s-Gravenhage, The Netherlands and registered with the Commercial Register under number 27265167, hereinafter referred to as the “Company”. Each of the parties above under (1) and (2) shall hereinafter also be referred to as “Party” and jointly as “Parties”.
