THIS DEED is dated 13 FebruaryΒ 2009 between:
(1) | Β | CYBER LIGHTING HOLDING COMPANY LIMITED, a company incorporated under the laws of Hong Kong with its registered office at 50th Floor, Bank of Xxxxx Xxxxx, 0 Xxxxxx Xxxx, Xxxxxxx, Xxxx Xxxx and registration number 1247919 (the Chargor); and |

(2) | Β | GOLD SUN DAY LIMITED as security agent for itself and any other Finance Party appointing it as security agent from time to time (the Chargee). |
BACKGROUND:
(A) | Β | The Chargor enters into this Deed in connection with the Credit Agreement and the Guarantee and Undertaking (as defined below). |

(B) | Β | The Chargor has also executed a Guarantee Acknowledgment in respect of its obligations under the Guarantee and Undertaking. |
IT IS AGREED as follows:
1. | Β | INTERPRETATION |

1.1 | Β | Definitions |
Β | Β | In this Deed: |
Β | ||
Β | Β | Accession Deed means a deed by which a new Finance Party becomes a party to this Deed, substantially in the form of ScheduleΒ 7 (Form of Accession Deed), with such amendments as the Chargee may approve or reasonably require. |
Β | ||
Β | Β | Account Bank means, in relation to a Security Account, the bank with which that Security Account is maintained. |
Β | ||
Β | Β | Event of Default has the meaning given to that term under the Finance Documents. |
Β | ||
Β | Β | Finance Document has the meaning given to that term in the Guarantee and Undertaking and includes an Accession Deed. |
Β | ||
Β | Β | Guarantee and Undertaking means the guarantee and undertaking dated 24 JanuaryΒ 2009 between, among others, Yingli Green Energy Holding Company Limited as guarantor and the Chargee. |

Β | Β | Party means a party to this Deed. |

Β | Β | Property Ordinance means the Conveyancing and Property Ordinance (Cap. 219 of the Laws of Hong Kong). |

Β | Β | Receiver means a receiver and manager or (if the Chargee so specifies in the relevant appointment) a receiver, in either case, appointed under this Deed. |

Β | Β | Secured Liabilities means all present and future obligations and Liabilities (whether actual or contingent and whether owed jointly or severally or in any other capacity whatsoever) of each Obligor to any Finance Party under each Finance Document, except for any obligation which, |

Β | Β | Secured Loan Liabilities means all present and future obligations and Liabilities (whether actual or contingent and whether owed jointly or severally or in any other capacity whatsoever) of each Obligor to a Finance Party (other than a Warrantholder) under each Finance Document (other than a Warrant Document). |

Β | Β | Security Account means all accounts maintained in the name of the Chargor and identified as a Security Account and includes, as at the date of this Deed, the accounts specified in ScheduleΒ 1 (Security Assets) under the heading Security Accounts and includes: |
Β | (a) | Β | if there is a change of Account Bank, any account into which all or part of a credit balance from a Security Account is transferred; and |
Β | |||
Β | (b) | Β | any account which is a successor to a Security Account on any re-numbering or re-designation of accounts and any account into which all or any part of a credit balance of a Security Account is transferred for investment or other administrative purposes. |
Β | Β | Security Assets means all assets of the Chargor the subject of any security created by this Deed. |

Β | Β | Security Period means the period beginning on the date of this Deed and ending on the date on which the Chargee is satisfied that all the Secured Loan Liabilities have been unconditionally and irrevocably paid and discharged in full. |

1.2 | Β | Construction |
(a) | Β | Capitalised terms defined in the Guarantee and Undertaking have, unless expressly defined in this Deed, the same meaning in this Deed. |
(b) | Β | The provisions of clause 1.2 (Construction) of the Guarantee and Undertaking apply to this Deed as though they were set out in full in this Deed, except that references to the Guarantee and Undertaking will be construed as references to this Deed. |

(c) | Β | (i)Β The term Finance Document includes all amendments and supplements including supplements providing for further advances; and |
Β | ||
Β | (ii) the term this Security means any security created by this Deed. | |
Β | ||
(d) | Β | Any covenant of the Chargor under this Deed (other than a payment obligation) remains in force during the Security Period. |
Β | ||
(e) | Β | In the context of the rights, powers, privileges, discretions and immunities conferred on the Chargee or a Receiver, references to charge or mortgage in any provision of the Property Ordinance shall, for the purposes of this Deed, be deemed to be references to this Security and references to mortgaged land in any provision of the Property Ordinance shall, for the purposes of this Deed, be deemed to be references to the Security Assets. |

(f) | Β | An Event of Default is outstanding if it has occurred and has not been waived by the Chargee in writing. |

(g) | Β | If the Chargee considers that an amount paid to a Finance Party under a Finance Document is reasonably likely to be avoided or otherwise set aside on the liquidation or provisional |

Β | Β | supervision of the payer or otherwise, then that amount will not be considered to have been unconditionally and irrevocably paid for the purposes of this Deed. |

(h) | Β | Unless the context otherwise requires, a reference to a Security Asset includes the proceeds of sale of that Security Asset. |
2. | Β | CREATION OF SECURITY |
Β | ||
2.1 | Β | General |
(a) | Β | All the security created under this Deed: |
Β | (i) | Β | is created in favour of the Chargee for itself and as agent and trustee on trust for the Finance Parties; |
Β | |||
Β | (ii) | Β | is created over present and future assets of the Chargor; |
Β | |||
Β | (iii) | Β | is created by the Chargor as the beneficial owner of its assets; and |
Β | |||
Β | (iv) | Β | is security for the payment and discharge of all the Secured Liabilities. |
(b) | Β | If the rights of the Chargor under a document cannot be secured without the consent of a party to that document: |
Β | (i) | Β | the Chargor must notify the Chargee promptly; |
Β | |||
Β | (ii) | Β | this Security will secure all amounts which the Chargor may receive, or has received, under that document but exclude the document itself; and |
Β | |||
Β | (iii) | Β | unless the Chargee otherwise requires, the Chargor must use reasonable endeavours to obtain the consent of the relevant party to that document being secured under this Deed. |
(c) | Β | The Chargee holds the benefit of this Deed on trust for itself and the Finance Parties. |
2.2 | Β | Land |
(a) | Β | The Chargor charges: |
Β | (i) | Β | by way of a first legal charge all estates or interests in any real property now owned by it; this includes the real property (if any) specified in ScheduleΒ 1 (Security Assets) under its name under the heading Real Property; and |
Β | |||
Β | (ii) | Β | (to the extent that they are not the subject of a legal charge under sub-paragraph (i)Β above) by way of first fixed charge all estates or interests in any real property. |
(b) | Β | A reference in this Subclause to a charge of any real property includes: |
Β | (i) | Β | all buildings, fixtures, fittings and fixed plant and machinery on that property; and |
Β | |||
Β | (ii) | Β | the benefit of any covenants for title given or entered into by any predecessor in title of the Chargor in respect of that property or any moneys paid or payable in respect of those covenants. |

2.3 | Β | Investments |

(a) | Β | The Chargor: |
Β | (i) | Β | mortgages by way of a first equitable mortgage all shares or equity interests in any member of the Group (other than itself and Opco) owned by it or held by any nominee on its behalf; and |

Β | (ii) | Β | charges (to the extent that they are not the subject of a mortgage under sub-paragraphΒ (i) above) by way of a first fixed charge its interest in all shares, stocks, debentures, bonds or other securities and investments owned by it or held by any nominee on its behalf. |
(b) | Β | A reference in this Subclause to a mortgage or charge of any stock, share, debenture, bond or other security includes: |
Β | (i) | Β | any dividend, interest or distribution paid or payable in relation to it; |
Β | |||
Β | (ii) | Β | any right, money or property accruing or offered at any time in relation to it by way of redemption, substitution, exchange, bonus or preference, under option rights or otherwise; |

Β | (iii) | Β | any right against any clearance system; and |
Β | |||
Β | (iv) | Β | any right under any securities account, custodian or other agreement in relation to it. |
2.4 | Β | Plant and machinery |

Β | Β | The Chargor charges by way of a first fixed charge all plant and machinery owned by it and its interest in any plant or machinery in its possession. |

2.5 | Β | Credit balances |

Β | Β | The Chargor charges by way of a first fixed charge all of its rights in respect of any amount standing to the credit of any account (including any account contemplated by this Deed) it has with any person and the debt represented by it. |

Β | Β | The Chargor assigns absolutely, subject to a proviso for re-assignment on redemption, all of its rights in respect of any contract or policy of insurance taken out by it or on its behalf or in which it has an interest. |

Β | Β | The Chargor assigns absolutely, subject to a proviso for re-assignment on redemption, all of its rights in respect of: |
Β | (a) | Β | any agreement to which it is a party except to the extent that it is subject to any fixed security created under any other term of this Clause; this includes the agreements (if any) specified in ScheduleΒ 1 (Security Assets) under its name under the heading Relevant Contracts; |

Β | (b) | Β | any letter of credit issued in its favour; and |
Β | |||
Β | (c) | Β | any xxxx of exchange or other negotiable instrument held by it. |
2.9 | Β | Intellectual property |

Β | Β | The Chargor charges by way of a first fixed charge, all of its rights in respect of: |
Β | (a) | Β | any know-how, patent, trade xxxx, service xxxx, design, business name, topographical or similar right; this includes the patents and trademarks (if any) specified in ScheduleΒ 1 (Security Assets) under its name under the heading Specific Intellectual Property Rights; |

Β | (b) | Β | any copyright or other intellectual property monopoly right; or |
Β | |||
Β | (c) | Β | any interest (including by way of licence) in any of the above, |
Β | Β | in each case whether registered or not and including all applications for the same. |
2.10 | Β | Miscellaneous |

Β | Β | The Chargor charges by way of first fixed charge: |
Β | (a) | Β | any beneficial interest, claim or entitlement it has in any pension fund; |
Β | |||
Β | (b) | Β | its goodwill; |
Β | |||
Β | (c) | Β | the benefit of any authorization (statutory or otherwise) held in connection with its use of any Security Asset; |

Β | (d) | Β | the right to recover and receive compensation which may be payable to it in respect of any authorization referred to in paragraph (c)Β above; and |
Β | |||
Β | (e) | Β | its uncalled capital. |
2.11 | Β | Floating charge |
Β | ||
(a) | Β | The Chargor charges by way of a first floating charge all its assets not at any time otherwise effectively mortgaged, charged or assigned by way of fixed mortgage, charge or assignment under this Clause. |
Β | ||
(b) | Β | The Chargee may by notice to the Chargor convert the floating charge created by the Chargor under this Deed into a fixed charge as regards any of the Chargorβs assets specified in that notice, if: |

Β | (i) | Β | an Event of Default is outstanding; |
Β | |||
Β | (ii) | Β | the Chargee considers those assets to be in danger of being seized or sold under any form of distress, attachment, execution or other legal process or to be otherwise in jeopardy; |
Β | |||
Β | (iii) | Β | the Chargor fails to comply, or takes or threatens to take any action which, in the reasonable opinion of the Chargee, is likely to result in the Chargor failing to comply with its obligations under Clause 4 (Restrictions on dealings), |
Β | Β | and upon issue of such notice by the Chargee to the Chargor in respect of any asset of the Chargor, the floating charge over that asset shall immediately crystallise and become a fixed charge. |
(c) | Β | The floating charge created under this Deed will (in addition to the circumstances in which the same will occur under general law) automatically convert into a fixed charge over all of the Chargorβs assets on the convening of any meeting of the members of the Chargor to consider a resolution to wind up the Chargor (or not to wind up the Chargor). |

(d) | Β | The giving by the Chargee of a notice under paragraph (b)Β above in relation to any asset of the Chargor will not be construed as a waiver or abandonment of the Chargeeβs rights to give any other notice in respect of any other asset or of any other right of any other Finance Party under this Deed or any other Finance Document. |

3. | Β | REPRESENTATIONS AND WARRANTIES β GENERAL |

Β | Β | It has the power to enter into and perform, and has taken all necessary action to authorise the entry into and performance of, this Deed and the transactions contemplated by this Deed. |

3.4 | Β | Legal validity |

Β | Β | Subject to any general principles of law limiting its obligations and referred to in any legal opinion required under the Finance Documents, this Deed: |
Β | (a) | Β | constitutes its legally valid, binding and enforceable obligation; and |

Β | (b) | Β | is in the proper form for its enforcement in the jurisdiction of its incorporation. |
3.5 | Β | Non-conflict |

Β | Β | The entry into and performance by it of, and the transactions contemplated by, this Deed do not and will not conflict with: |

Β | (a) | Β | any law or regulation applicable to it; or |

Β | (b) | Β | its or any of its Subsidiariesβ constitutional documents; or |

Β | (c) | Β | any document which is binding upon it or any of its Subsidiariesβ or any of its or any of its Subsidiariesβ assets. |
3.6 | Β | No default |

(a) | Β | No Event of Default is outstanding or will result from the entry into of, or the performance of any transaction contemplated by, this Deed. |
Β | ||
(b) | Β | No other event or circumstance is outstanding which constitutes a default under any document which is binding on it or any of its Subsidiaries to an extent or in a manner which has or is reasonably likely to have a Material Adverse Effect. |

3.7 | Β | Authorisations |

Β | Β | Subject to the completion of the filing of particulars of the Security Interests created under this Deed and the registration of this Deed with the Hong Kong Companies Registry, all authorisations required by it in connection with the entry into, performance, validity and enforceability of, and the transactions contemplated by, this Deed have been obtained or effected (as appropriate) and are in full force and effect. |

(b) | Β | It will not be entitled to claim immunity from suit, execution, attachment or other legal process in any proceedings taken in its jurisdiction of incorporation in relation to this Deed. |

3.10 | Β | No adverse consequences |

(a) | Β | It is not necessary under the laws of its jurisdiction of incorporation: |
Β | (i) | Β | in order to enable any Finance Party to enforce its rights under this Deed; or |

Β | (ii) | Β | by reason of the entry into of this Deed or the performance by it of its obligations under this Deed, |
Β | Β | that any Finance Party should be licensed, qualified or otherwise entitled to carry on business in its jurisdiction of incorporation. |
(b) | Β | No Finance Party is nor will be deemed to be resident, domiciled or carrying on business in its jurisdiction of incorporation by reason only of the entry into, performance and/or enforcement of this Deed. |

3.11 | Β | Jurisdiction/governing law |

(a) | Β | In this Subclause: |

Β | Β | Relevant Jurisdiction means, in relation to the Chargor: |
Β | (i) | Β | its jurisdiction of incorporation; |

Β | (ii) | Β | any jurisdiction where any asset subject to or intended to be subject to this Deed is situated; |

Β | (iii) | Β | any jurisdiction where it conducts its business; and |

Β | (iv) | Β | the jurisdiction whose laws govern the perfection of this Deed. |
(b) | Β | Subject to any general principles of law limiting its obligations and referred to in any legal opinion required under the Finance Documents, its: |
Β | (i) | Β | irrevocable submission under this Deed to the jurisdiction of the courts of Hong Kong; |
Β | |||
Β | (ii) | Β | agreement that this Deed is governed by Hong Kong law; and |
Β | |||
Β | (iii) | Β | agreement not to claim any immunity to which it or its assets may be entitled, |
Β | Β | are legal, valid and binding under the laws of its Relevant Jurisdiction. |
(c) | Β | Subject to any general principles of law limiting its obligations and referred to in any legal opinion required under the Finance Documents, the choice of governing law in this Deed will be recognised and enforced in its Relevant Jurisdiction. |

(d) | Β | Subject to any general principles of law limiting its obligations and referred to in any legal opinion required under the Finance Documents, any judgment obtained in Hong Kong will be recognised and be enforceable by the courts of its Relevant Jurisdiction. |

Β | Β | This Deed creates those Security Interests it purports to create and is not liable to be amended or otherwise set aside on its liquidation or provisional supervision or otherwise. |

(a) | Β | The representations and warranties set out in this Deed (including in this Clause) are made on the date of this Deed. |

(b) | Β | Unless a representation and warranty is expressed to be given at a specific date, each representation and warranty under this Deed (other than the representations and warranties set out in Clause 3.7 (Stamp duties) and Clause 3.9 (No adverse consequences) is deemed to be repeated by the Chargor on each date during the Security Period. |

5. | Β | LAND |

Β | Β | Fixtures means all fixtures and fittings and fixed plant and machinery on the Mortgaged Property. |

Β | Β | Insured Property Assets means the Premises and all other assets of the Chargor of an insurable nature in the Premises. |

Β | Β | Mortgaged Property means all real property included in the definition of Security Assets. |

Β | Β | Premises means all buildings and erections included in the definition of Security Assets. |

Β | Β | Report on Title means any report on title on the Mortgaged Property addressed and provided at the request of the Chargee before the date of this Deed or, in the case of any Mortgaged Property acquired after the date of this Deed, its date of acquisition. |

5.2 | Β | Information for Report on Title |

Β | Β | The Chargor represents to each Finance Party that: |
Β | (a) | Β | the information provided to the lawyers who prepared any Report on Title relating to any of its Mortgaged Property for the purpose of that Report on Title was true in all material respects at the date it was expressed to be given; |

Β | (b) | Β | the information referred to in paragraph (a)Β above was at the date it was expressed to be given complete and did not omit any information which, if disclosed would make that information untrue or misleading in any material respect; and |

Β | (c) | Β | as at the date of this Deed, nothing has occurred since the date of any information referred to in paragraph (a)Β above which renders that information untrue or misleading in any respect and which, if disclosed, would make that information untrue or misleading in any material respect. |
5.3 | Β | Title |

Β | Β | The Chargor represents to each Finance Party that except as disclosed in any Report on Title relating to any of its Mortgaged Property: |

5.4 | Β | Repair |

Β | (b) | Β | its Fixtures and all plant, machinery, implements and other effects owned by it and which are in or on its Premises or elsewhere in a good state of repair and in good working order and condition. |
5.5 | Β | Insurance |

(a) | Β | The Chargor must insure its Insured Property Assets against: |
Β | (i) | Β | loss or damage by fire; |
Β | |||
Β | (ii) | Β | other risks normally insured against by persons carrying on the same class of business as that carried on by it; and |
Β | |||
Β | (iii) | Β | any other risks which the Chargee may reasonably require. |
(b) | Β | Any insurance must be in a sum or sums not less than the replacement value of the Insured Property Assets. For this purpose, replacement value means the total cost of entirely rebuilding, reinstating or replacing those Insured Property Assets in the event of their being completely destroyed, together with architectsβ and surveyorsβ fees. |

(c) | Β | Any insurance required under this Clause must be with an insurance company or underwriters acceptable to the Chargee. |

(d) | Β | All moneys received or receivable under any insurance in respect of the Insured Property Assets must be applied: |

Β | (i) | Β | in replacing, restoring or reinstating the Insured Property Assets destroyed or damaged or in any other manner which the Chargee may agree; or |

Β | (ii) | Β | after a Default has occurred, if the Chargee so directs and the terms of the relevant insurances allow, in or towards satisfaction of the Secured Liabilities. |
(e) | Β | The Chargor must procure that a note of each Finance Partyβs interest is endorsed upon all policies of insurance maintained by the Chargor or any person on its behalf in respect of the Insured Property Assets. |

(f) | Β | The Chargor must not do or permit anything to be done which may make void or voidable any policy of insurance in connection with any Insured Property Asset. |

5.7 | Β | Acquisitions |

(a) | Β | If the Chargor acquires any real property after the date of this Deed it must: |
Β | (i) | Β | notify the Chargee immediately; |

Β | (ii) | Β | immediately on request by the Chargee and at the cost of the Chargor, execute and deliver to the Chargee a legal charge in favour of the Chargee of that property in any form which the Chargee may require; and |

Β | (iii) | Β | give the Hong Kong Land Registry written notice of this Security. |
(b) | Β | If the consent of the landlord in whom the reversion of a lease is vested is required for the Chargor to execute a legal charge over it, the Chargor will not be required to perform that obligation unless and until it has obtained the landlordβs consent. The Chargor must use its reasonable endeavours to obtain the landlordβs consent. |

5.10 | Β | Leases |

(a) | Β | The Chargor must promptly copy to the Chargee and comply with all requests for information which is within its knowledge and (i)Β which are made under any law or regulation; (ii)Β any listing or other authority (including SectionΒ 329 of the Securities and Futures Ordinance (Cap. 571 of the Laws of Hong Kong) or any similar provision; and (iii)Β any provision contained in any articles of association or other constitutional document relating to any of its Investments. If it fails to do so, the Chargee may elect to provide such information as it may have on behalf of the Chargor. |

(b) | Β | The Chargor must comply with all other conditions and obligations assumed by it in respect of any of its Investments. |

6.7 | Β | Voting rights |

Β | (i) | Β | the Chargor may continue to exercise the voting rights, powers and other rights in respect of the Investments; and |

Β | (ii) | Β | all dividends or other income paid or payable in relation to any Investments must be paid in accordance with the terms of the Finance Documents. |
Β | Β | The Chargor must indemnify the Chargee to its satisfaction (including with or without security in respect of such indemnity) against any loss or liability or expense suffered or incurred by the Chargee as a consequence of the Chargee acting in respect of the Investments on the direction of the Chargor. |
(b) | Β | If an Event of Default is outstanding, the Chargee may exercise (in the name of the Chargor and without any further consent or authority on the part of the Chargor) any voting rights and any powers or rights which may be exercised by the legal or beneficial owner of any Investment, any person who is the holder of any Investment or otherwise. |

8.2 | Β | Accounts |

(c) | Β | If there is a change of Account Bank, the amount (if any) standing to the credit of the Security Accounts maintained with the old Account Bank will be transferred to the corresponding Security Accounts maintained with the new Account Bank immediately upon the appointment taking effect. |
