THIS SUBADVISORY AGREEMENT is made and entered into as of May 14, 2015, by and between Princeton Fund Advisors, LLC (the “Adviser”), a Delaware limited liability company located at 1125 17th Street, Suite 1400, Denver, CO 80202 and registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and AthenaInvest Advisors, LLC (the “Subadviser”), a Colorado limited liability company located at 5340 South Quebec Street, Suite 365-N, Greenwood Village, CO 80111 and also registered under the Advisers Act, with respect to the Athena Value Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).
