MATERIALS. 1. Subject to the terms and conditions of this agreement, Licensor will upon Licensee's written request supply Licensee on loan with the material described herein. Upon receipt of the material of the Program Licensee shall examine said material and shall give Licensor immediate written notice if the material is not physically suitable for telecast. Licensor shall remedy such defect or make timely substitution of a physically suitable print of the Program at no additional cost or expense to Licensee. If none of the remedies or substitutions as above specified is available and provided that Licensee has given written notice to Licensor to make such remedies or substitutions within a period of 3 weeks upon receipt of such notice, then Licensee shall be relieved of its contract obligations in so far as such scheduled Program is concerned, and the license fees payable by Licensee hereunder shall be reduced by a proportionate part thereof.
2. The material will be considered as having been supplied and accepted under the terms of the agreement unless Licensee submits a written claim within 4 weeks after the receipt of the material.
3. All costs of delivery and return of material furnished by Licensor shall be borne by Licensee.
4. Licensee shall, at its own cost, obtain all permissions necessary for the import of the transmission material into the licensed territory and for the remittance of any sums of money to Licensor.
5. Unless otherwise provided in this agreement, all materials relating to the Program may not be used, dealt with or otherwise disposed of except as provided herein.
6. Licensee shall return the material furnished by Licensor on loan within 8 weeks after receipt to Licensor. In so far as Licensee has paid for the material delivered by Licensor and in the event that Licensee shall so elect, Licensee may after the expiration of the license term either return such material to Licensor or destroy it, in which case Licensee upon Licensor's request will provide Licensor with a certificate of destruction.
MATERIALS. 4.1 Within 30 (thirty) days of payment of the License Fee (or the first instalment thereof, if so indicated in the Principal Terms)/, Licensor shall deliver the Materials on loan to Licensee. Any shipping costs, charges or expenses (including, but not limited to, risk of loss, insurance, taxes, customs clearance, shipping and forwarding charges) shall be borne by Licensee. If the Materials are lost, stolen, destroyed or damaged after delivery by Licensor to a shipping agent and before arrival at its destination, Licensee shall provide to Licensor and/or execute any document requested by Licensor certifying such loss, theft, destruction, or damage and all details known to Licensee relating to such occurrence, and Licensor shall make and deliver to Licensee a replacement copy of the Materials at Licensee’s expense.
4.2 Licensee shall examine the Materials, and shall have 30 (thirty) days of receipt thereof to notify Licensor (if necessary) that such Materials do not technically comply with commercial industry standards. In such event, Licensor shall use reasonable efforts to provide replacement Materials within 30 (thirty) days. However, if Licensor determines that it is not practicable to create a replacement copy of the Materials which meets the required standards, Licensor may elect to withdraw the Program – or such title included in the Program - and Licensee shall have the right to select a substitute program. In the event the Parties are unable to agree upon a comparable substitute program, or there is no comparable substitute program available, the License Fee paid by Licensee respecting such withdrawn Program – or title included in the Program - shall be credited or refunded to Licensee.
4.3 The Materials shall be returned to Licensor no later than 30 (thirty) days after the end of the License Period (unless otherwise indicated in the Principal Terms) at Licensee's expense in the same condition in which they were received, failing which Licensee shall reimburse Licensor the actual cost of replacement of the Materials. MATERIALS. After the execution of this Agreement, Licensor shall deliver the materials (“Materials”) listed in Item 6 of Addendum A. The agreed mode of supply is specified in said Item 6.
MATERIALS. Licensor shall deliver to Licensee the Materials specified at Item 6 of Deal Terms (“Materials”). If, pursuant to Item 6, Licensee shall pay any amount for the Materials, Licensor shall inform Licensee of the cost of Materials and Licensee shall pay the relevant amount before delivery.
MATERIALS. (a) Delivery Address: Licensor shall deliver the Materials to the address of Licensee set forth in the Television Licence Agreement
(b) Delivery
i) Physical Delivery: Where Physical Delivery is specified, Licensor will deliver the applicable Delivery Materials to Licensee at the applicable delivery location. Delivery will be made by air transport unless otherwise specified in the Television Licence Agreement or Delivery Notice. Delivery by Licensor and receipt of the Materials by Licensee (“Receipt of Materials”) shall be deemed to have taken place: • On the same day of personal delivery (hand-delivery) against the signature of the recipient party representing the Licensee, • On the day/date the courier company will confirm its delivery thereof by submitting the relevant dispatch document, if sent by a courier company.
ii) Laboratory Access: Where Laboratory Access is specified, Licensor will provide Licensee with access to the applicable Delivery Materials at a recognized laboratory or facility mutually acceptable to the parties.
iii) Loan of Materials: Where Loan of Materials is specified, Licensor will deliver the applicable Delivery Materials on loan to Licensee at the applicable delivery location. Licensor will deliver to Licensee, at Licensee’s cost, such prints and other material described in the Television Licence Agreement. Delivery will be made by air transport unless otherwise specified in the Television Licence Agreement or Delivery Notice. These loaned Delivery Materials may only be used to make new pre-print materials, at Licensee’s sole expense, from which necessary exploitation materials can be made. The loaned Delivery Materials will always be held in a laboratory or facility subject to Licensor’s reasonable approval and will be returned to Licensor within a reasonable time designated by Licensor. For the material supplied on loan Licensee agrees to return, prepaid, the prints, tapes, reels and containers in the same form and condition as delivered by Licensor, ordinary wear and tear from proper use excepted, to Licensor at the address designated by it.
iv) Electronic Delivery: Where Electronic Delivery is specified, Licensor will deliver the applicable Delivery Materials to Licensee by electronic transmission over the Internet or comparable service consistent with available materials and Licensee’s equipment. MATERIALS. The Licensor must provide all the materials that are necessary for the normal and good exhibition of the Show. The materials must be suitable for playing on a full dome video system.
MATERIALS. Licensor shall deliver to Licensee the following materials(“Materials”) relating to the Program:
1) Digital Files through VMover.
2) Dialogue List in the Original Language;
1) Cast List
2) Promotion kit consisting of 4 (Four) color photographs, 2 (two) brochures;
3) Music and cue sheet. Delivery Date: By December 21st, 2014.
a. The Materials listed at point 2. through 5. above are to be delivered by Licensor to Licensee free of charge. The Materials listed at Point 1. above are included in the License Fee.
b. Any additional promotional and, especially, photographic materials, such as transparencies, colour or b/w slides, etc., can be delivered by an additional arrangement and for an additional specific payment.
c. Delivery also shall be at Licensee’s charge. It is understood and agreed that all costs of Delivery, including the custom and shipping charges payable by Licensee are not deemed as part of the Consideration.

MATERIALS a. Licensor will deliver to Licensee one transmission element of each Programme(s) as described in the Basic Terms. Delivery by Licensor shall be deemed completed when Licensor has placed said transmission element in the possession of an air express company or other carrier selected by Licensor for Programme(s) licensed hereunder. If Licensor determines that exhibition or broadcast of any such Programme(s) would or might (1) infringe upon the rights of others, (2) violate any law, court order, governmental regulation or other ruling or order of any other governmental body or (3) subject Licensor to any liability or to litigation or threatened litigation, if any Programme(s) is withdrawn, Licensor shall have the right, in its sole discretion, to deliver a substitute Programme(s) of comparable quality and value as determined by Licensor in its sole discretion; to reduce the number of programmes licensed hereunder and give a proportionate credit against the license fee; or to extend the license period of any such Programme(s) for a term equal to the term during which such Programme(s) is withdrawn.
b. Shipping charges, insurance, custom duties, brokerage charges and other handling charges in connection with the delivery and return of each print shall be borne by Licensee.
c. If Licensee delays the return of any element, Licensee shall pay Licensor any loss or damage so caused thereby. If Licensee fails to return any transmission element for any reason, or same is damaged between the time of delivery by Licensor and return by Licensee, Licensee shall immediately advise Licensor by wire and pay Licensor the cost of replacement. Such payment shall not transfer title to Licensee or anyone else. Property damaged when returned by Licensee shall be deemed damaged by Licensee unless, prior to broadcasting or exhibiting such print, Licensee shall have wired Licensor that such an element was damaged on receipt, detailing the nature and footage damaged.
MATERIALS. 1. Dialogue/spotting list of the Original language of the Picture(s) and Trailer;
2. English subtitles of the Picture(s), supplied by Licensor when available and free of charge;
3. Authorized Language subtitles of the Picture(s) – if available and free of charge.

2. Poster Artwork on CD or through wetransfer – free of charge;
3. Electronic Press-Kit;
4. Cast list;
5. Music Cue sheets;
6. Certificate of Origin;
7. Paid ad billing requirements. Technical Material will be delivered by the means agreed above, according to Section 4 of the Standard Terms and Conditions; Dubbing and Subtitling Materials and Promotional and Additional Materials will be delivered by Digital Media Delivery by Licensor according to Section 4 of the Standard Term & Conditions. Any supplementary promotional and, especially, photographic materials, such as transparencies, colour slides, etc., can be delivered on Licensee’s additional payment.
