Common use of Assignment Clause in Contracts

Assignment. Neither of the parties may transfer or assign any rights or ob- ligations under the Agreement without the other party’s prior written consent. However, as part of a full or partial transfer of Beierholm’s business, Beierholm is entitled to assign rights and obligations under Beierholm’s agreements with the Client to an- other audit firm, including as part of an internal reorganisation, provided that this does not cause the Client significant inconven- ience or additional costs. The parties to the Agreement are Beierholm and the Client, and neither of the parties may transfer or assign any rights or ob- ligations under the Agreement without the other party’s prior written consent.
