ABL Facility Collateral Agent definition

ABL Facility Collateral Agent means the “Collateral Agent” (or similar entity) under the ABL Facility Documents and any successor thereto in such capacity.

ABL Facility Collateral Agent has the meaning set forth in the recitals.

ABL Facility Collateral Agent means, as applicable, the Initial ABL Facility Collateral Agent and any New ABL Facility Collateral Agent to the extent set forth in Section 8.19(f).

• No Senior First-Priority Collateral Agent shall be obligated to follow instructions from the ABL Facility Collateral Agent in contravention of this Agreement.

• SECTION 2.03 Each party to this Agreement (other than the New Collateral Agent) confirms the acceptance of the New Collateral Agent as an ABL Facility Collateral Agent for purposes of the Intercreditor Agreement.

• None of the ABL Facility Collateral Agent, the Applicable First-Lien Agent, the First-Lien Collateral Agent, the Other First-Priority Lien Obligations Representatives or the Other First-Priority Lien Obligations Collateral Agents shall have individual liability to any Person if it shall mistakenly pay over or distribute to any Secured Party (or Grantor) any amounts in violation of the terms of this Agreement, so long as such Person is acting in good faith and without gross negligence or willful misconduct.

• Notwithstanding the provisions of any other Term Loan Document or ABL Facility Document, the Directing Term Loan Collateral Agent and the ABL Facility Collateral Agent may make any amendments, restatements, amendment and restatements, supplements or other modifications to this Agreement to correct any ambiguity, omission, mistake, defect or inconsistency contained herein without the consent of any other Person.

More Definitions of ABL Facility Collateral Agent

ABL Facility Collateral Agent means the agent under the Credit Agreement, which, on the Issue Date, was Wells Fargo Bank, National Association, or if the Credit Agreement is no longer outstanding, the “Successor ABL Facility Collateral Agent.”

ABL Facility Collateral Agent means JPMorgan, in its capacity as administrative agent under the ABL Facility, together with its successors and assigns in such capacity.

ABL Facility Collateral Agent means Citibank, N.A., as collateral agent under the ABL Credit Agreement, and its successors, replacements and/or assigns in such capacity.

ABL Facility Collateral Agent means JPMorgan Chase Bank, N.A., in its capacity as collateral agent for the ABL Facility Secured Parties, together with its successors and permitted assigns under the ABL Facility and the ABL Facility Documents exercising substantially the same rights and powers; and in each case provided that if such ABL Facility Collateral Agent is not JPMorgan Chase Bank, N.A., such ABL Facility Collateral Agent shall have become a party to the ABL Intercreditor Agreement and the other applicable ABL Facility Documents.

ABL Facility Collateral Agent means Wachovia Bank, National Association, as administrative agent and collateral agent under the Credit Agreement, its successors and/or assigns in such capacity.

ABL Facility Collateral Agent means Bank of America, N.A., as administrative agent and collateral agent under the Credit Agreement in effect on the Issue Date, and its successors and/or assigns in such capacity.

ABL Facility Collateral Agent means Bank of America, N.A., as collateral agent under the ABL Facility, and its successors, replacements and/or assigns in such capacity.
